(hereinafter referred to as the “Company”)
each a "Party" and together the "Parties"
Preamble:
Based on the situation caused by the worldwide pandemic of the coronavirus (Covid-19) and the corresponding measures that came into force in Azerbaijan, such as the travel ban for foreign citizens as well as the unforeseeable costs for a constant extension of the current Letter of Credit (L/C) for the Company, both Parties agree as follows:
1 Considering the uncertain situation due to Covid-19, the Parties agreed to close the present L/C ref. SLCI/190419/002 with the current validity until December 31, 2020 and to suspend all contractual obligations of the Supplier for the period of uncertainty.
2. The Parties agree to issue a new irrevocable documentary L/C at sight in favour of the Supplier with the following conditions:
2.1. BANK OF THE APPLICANT: PASHA BANK, BAKU
2.2. BANK OF THE BENEFICIARY: COMMERZBANK AG, FRANKFURT AM MAIN
2.3. PLACE OF EXPIRY: FRANKFURT, GERMANY
2.4. VALIDITY OF THE L/C: 6 MONTHS
2.5. AMOUNT OF THE L/C: 375,844.00 EUR
2.6. The payment under the L/C shall be made as follows:

2.8. INVOICE(S) MUST SHOW L/C NUMBER.
2.9. DOCUMENTS ISSUED PRIOR TO THIS LC ISSUE DATE ARE NOT ACCEPTABLE.
2.10. DOCS REFERRED TO ITEM B, C, D, E ABOVE ARE TO BE PRESENTED WITHIN L/C VALIDITY. PARTIAL PRESENTATIONS FOR THESE ITEMS ARE ALLOWED.
2.11. The L/C has to be opened within 30 days after receipt of the written information from the Company about lifting of the travel ban for foreign citizens as well as reinstatement of the electronic visa system in Azerbaijan and commercial flights from the countries of the specialists to Azerbaijan. After receiving this information, the Supplier will inform the Company within 10 days whether the travel restrictions in the affected countries from which the specialists are travelling have also been lifted.
2.12. The L/C has to be agreed between the Parties before opening by the Pasha Bank, Baku.
3. It is hereby agreed that all contractual obligations of the Supplier will be reinstated and any activities by the Supplier for the re-start of the installation and commissioning of the Wool Washing Spinning and Dyeing Factory will start only after issuance of the L/C acc. Item 2. acceptable for all parties. This also includes all organisational preparations as visa applications, ticket booking etc. for the specialists.
4. In any matter not covered by this Addendum No.4, the Parties shall follow the terms and conditions of the Contract Agreement No. 212 8 999 0295 dated 28.03.2019.
5. This Addendum No.4 is an integral part of the Contract Agreement No. 212 8 999 0295 dated 28.03.2019.
6. This Addendum No.4 comes into effect once signed by the Parties.
7. This Addendum No.4 has been made in English and Azerbaijani language in two counterparts, one counterpart for each Party. In case of discrepancy, the English version prevails.

2.12. Akkreditivin Paşa Bank Bakı tərəfindən açılmasından əvvəl tərəflər razılaşmalıdırlar.
3. Tərəflər razılığa gəlirlər ki, Təhcizatçının müqavilə üzrə bütün öhdəlikləri və Yunəyirici-Boyaq Fabrikində quraşdırma və istismara verilmə ilə bağlı hər hansı bir fəaliyyəti yalnız akkreditiv açıldıqdan sonra yerinə yetirməyə başlayacaq. 2-ci bənd bütün tərəflər üçün qəbulediləndir. Bu fəaliyyətə həmçinin bütün təşkilati hazırlıqlar, o cümlədən viza müraciətləri, bilet sifarişi və.s də aiddir.

1. In the course of the assembly and installation works, the Parties have determined that in order to ensure the successful commissioning of the Pre-Spinning Section (NSC Schlumberger) of the Wool Washing Spinning and Dyeing Factory in Sumgayit according to the provisions of the present Contract Agreement, it is necessary to deliver additional the parts according to Annex 1 to this Addendum No. 3.
1.1. The prices listed in Annex 1 are for customs purposes only, since the delivery by the Supplier to the Company is „free of charge“. This means the Supplier bears costs for transport by truck on delivery terms DDP Baku Customs terminal (Incoterms 2020) and for packaging.
2. The Parties agree that the customs clearance of the parts according to Annex 1 shall be carried out by the Supplier in cooperation with the following Broker:

2.1. The Supplier is entitled to engage third Parties (subcontractors) to fulfil his obligations in connection with customs clearance.
2.2. The Supplier shall bear the costs arising in connection with customs clearance. The Parties also agree that the settlement of these costs shall be carried out directly between the Broker and the Supplier.
2.3. The Company will accompany the Supplier and the appointed Broker during the entire customs clearance procedure free of charge. The Supplier shall make all reasonable efforts to provide the documents and information required by the customs authorities of the Republic of Azerbaijan within the shortest possible time. The Company shall support the Supplier in providing these documents and information.
3. In any matter not covered by this Addendum No.3, the Parties shall follow the Contract terms.
4. This Addendum No.3 is an integral part of the Contract Agreement.
5. This Addendum No.3 comes into effect once signed by the Parties.

2.3. Şirkət bütün gömrük rəsmiləşdirilməsi proseduru ərzində Təchizatçı və təyin olunmuş Brokeri müşayiət edir. Təchizatçı qısa müddət ərzində Azərbaycan Respublikasının gömrük orqanları tərəfindən tələb olunan sənəd və məlumatların verilməsini təmin edir. Şirkət öz tərəfindən bu sənədləri və məlumatları təqdim etməkdə Təchizatçıya dəstək verir.
3. Bu 3 nömrəli əlavədə nəzərdə tutulmayan hər hansı bir məsələ ilə bağlı Tərəflər müqavilənin şərtlərini əsas götürürlər.
4. Bu 3 nömrəli əlavə Müqavilənin ayrılmaz hissəsidir.
5. Bu 3 nömrəli əlavə Tərəflərin imzalamasından sonra qüvvəyə minir.

We appreciate your position regarding problems with refinery centrifuge and thank for your information. Meanwhile, we’d like to express our concerns with some points of the replacement procedure and need to clarify followings:
1. To prevent problems in the production process in future we’d like you to inform us about technical specifications and price differences between new and previous models
2. For analyzing the situation, we need any sample of other consumer complaints or their detailed explanation about defects of refinery centrifuge which they received.
3. It’d be very appropriate if Azerkhalcha send back the centrifuge after receiving the new one.
4. In case of replacement, all logistic operations and organizational issues will be taken place on responsibility of Textima.
5. Azerkhalcha will inform Textima about all procedures for export and import of respective centrifuge
6. Textima should send us the job order of the company which has started to produce refinery centrifuge for Azerkhalcha.
7. We offer to protocol of all this changes
