Сумма договора определяется фактически вы-полненным объемом работы. За выполненную работу Заказчик выплачивает Исполнителю вознаграждение в соответствии с Приложением 1, яв¬ляющимся неотъемлемой частью настоящего договора, с учетом скидок определенных в Приложении 1.
4. Порядок сдачи-приемки работы
При сдаче готового перевода стороны оформляют акт сдачи-приемки работ, являющийся основанием для оплаты. При поэтапном выполнении работ возможно оформление акта сдачи-приемки при завершении каждого этапа.
5. Порядок расчетов
Заказчик оплачивает выполненную работу на основании акта сдачи-приемки работ в течение 15 рабочих дней после подписания акта сдачи-приемки при наличии выставленного счета. При поэтапном выполнении работ Заказчик оплачивает каждый этап в течение 15 рабочих дней после его выполнения на основании акта сдачи-приемки и счета-фактуры для этого этапа.
Счета выставляются в долларах США, а оплата счетов производится в рублях по курсу ЦБ РФ, действующему на день оплаты
6. Ответственность сторон
В случае задержки выполнения работы, Испол-нитель выплачивает Заказчику штраф в раз¬мере 0,1% от стоимости заказа за каждый день просрочки. Общая сумма штрафа не может превышать 10% от стоимости заказа.
В случае отказа Заказчика от выполнения начатой работы не по вине Исполнителя, Заказчик оплачивает Исполнителю объем работы, фактически выполненный на дату отказа по расценкам, в соответствии с Приложением 1, определенным в ст. 3 настоящего Договора.
За невыполнение или ненадлежащее выполне¬ние иных обязательств по настоящему договору стороны несут ответственность в соответствии с дей¬ствующим законодательством.
Translation - English 3. Contract price
The contract price is determined by the actual scope of work. The Customer shall pay the Contractor compensation for the performed work in accordance with Annex 1, constituting the integral part of this agreement, taking into account discounts, determined in Annex 1.
4. The procedure of work transfer and acceptance
Upon transfer of the finished translation parties execute transfer and acceptance certificate, which is the basis for payment. The transfer and acceptance certificate may be executed upon the completion of each phase during partial execution of work.
5. Settlement procedure
The Customer pays for the work done on the basis of an act of transfer and acceptance certificate within 15 working days after the signing of the transfer and acceptance certificate in the presence of the invoice. During partial execution of work the Customer pays for each phase of work done within 15 working days after its execution upon the transfer and acceptance certificate and the invoice for corresponding phase.
Invoices are drawn up in U.S. dollars, and settling of account is made in rubles at the CBR exchange rate in effect at the date of payment
6. Liability of the Parties
In case of delay in execution of work, the Contractor pays the Customer the penalty in amount of 0.1% of the order’s total cost for each day of delay. The total amount of the penalty may not exceed 10% of the order’s total cost.
In case Customer’s refusal from execution of the work initiated through no fault of the Contractor, the Customer shall pay the Contractor amount of work actually performed on the date of refusal at a price, in accordance with Annex 1, as defined in Art. 3 hereof.
In case of failure to meet or improper fulfillment of other obligations under this agreement, the parties shall be liable in accordance with the applicable law.

4.1 Checking prior to trial-run
• Ensure effective fixation of all parts.
• Check that the gear unit is charged with oil.
• Check that the bearings are filled with grease.
• Check that there are no tools etc. left in the machine which might get jammed.
4.2 Trial-run
Prior to commissioning of the shredder, it must have been running for some time without material load; the shredder must be in operation for a minimum of 4 hours. Attention is drawn to the fact that the gear unit(s) will require a certain running-in period before being properly worn in, and operating at maximum efficiency. During this running-in period the operation of the machine must be checked. Check that the rotor is well balanced during rotation. If not, re-arrange the positions of the knives.
In connection with any adjustment of rotor position:
Start the unit at low speed. Have one person on standby so that the machine can be stopped within the first five minutes of start¬up in case of any abnormal sounds or vibrations occurring. Gradually uprate the speed to the normal level. Regulation of the rotor speed is done directly on the frequency drive unit.
• Check that the bearing temperatures do not get too high. Use the thermometer if the bearings are more than hand-warm.
• Check the temperature of the drive stations at regular intervals during the running-in period. A certain increase in temperatures must be expected during the running-in period of gear units; however, the temperature must not exceed 90° C.
Check the motor load rates.

4.1 Проверка перед пробным пуском
• Удостоверьтесь, что все детали прочно зафиксированы.
• Проверьте заправку редуктора маслом.
• Проверьте, чтобы подшипники были заполнены смазкой.
• Проверьте, чтобы не было никаких инструментов и др., оставленных в машине, которая может заклинить.
4.2 Пробный пуск
Перед пуско-наладочными работами дробилки, она должна некоторое время поработать без загрузки материала; дробилка должна быть в эксплуатации как минимум 4 часа. Необходимо обратить внимание на то, что редуктор (ы) потребуют определенный период для приработки перед тем, как прогреются и смогут работать по максимальной производительности. Во время периода проработки работа машины должна проверяться. Проверьте, чтобы ротор был хорошо уравновешен во время вращения. Если нет, заново расположите положения фрезерных зубов.
В связи с любой регулировкой положения ротора:
Запустите устройство на маленькой скорости. Пусть один человек стоит рядом, чтобы машину можно было остановить в течение первых пяти минут после запуска в случае, если появится любой ненормальный звук или вибрация. Постепенно увеличьте скорость до нормального уровня. Регулирование скорости ротора выполняется непосредственно частотном приводном устройстве.
• Проверьте, чтобы температуры подшипника не были слишком высокими. Используйте термометр, если подшипники теплее температуры человеческого тела.
• Проверяйте температуру приводных установок в регулярные интервалы во время периода приработки. Определенное повышение температур ожидается во время периода приработки редукторов; однако, температура не должна превышать 90°C.
Проверьте степень нагрузки двигателя.

Source text - English Agreement
1. Previous Agreement
The parties agree that, with effect from the Commencement Date, this Agreement replaces all earlier agreements a party may have entered into with any other party or parties in relation to the issue of Contracts of Insurance under the Program (including the Vodafone Management Agreement) but in no way affects:
(a) a party’s entitlement to remuneration under any prior agreement;
(b) any accrued rights or liabilities which arose under any prior agreement; or
(c) any obligations which by virtue of any previous agreement survive expiry of that agreement.
2. Agreement
2.1 Period
This Agreement commences on the Commencement Date and subject to clauses 14.1, 14.2, 14.3 and 14.4 shall remain in force for a term of thirty six (36) months from the Commencement Date (the “Term”).
2.2 Insurer appointment of MTS
(a) Insurer appoints MTS (directly or through Dealers) to act on behalf of Insurer in relation to the Program as provided under the terms of this Agreement and MTS accept that appointment.
(b) Insurer authorises MTS (directly or through Dealers) to act on behalf of Insurer in relation to the activities set out in the Schedule 3 ‘Remuneration & Authority’ as provided under the terms of this Agreement.
(c) Insurer further authorises MTS to sub-authorise the Individuals and/ or the Dealers to act on behalf of Insurer as provided under the terms of this Agreement.
(d) Insurer may immediately revoke or vary the authority conferred on MTS by this Agreement by giving written notice to MTS, where Insurer is acting in good faith, for the continuance of the Program and has reasonable grounds.
(e) Insurer appoints MTS to arrange (directly or through Dealers):
(i) Handset repair or replacement services under the Program on the terms set out in Schedule 1 of this Agreement; and
(ii) such other services as are specified in this Agreement as being provided directly on behalf of Insurer by MTS,
and MTS accept that appointment.

1. Предыдущее Соглашение
Стороны соглашаются, что, начиная с Даты вступления соглашения в силу, это Соглашение заменяет все ранее заключенные соглашения, в которые любая сторона могла вступить с любой другой стороной или сторонами в отношении Договоров страхования в рамках Программы (в том числе, Соглашение об управлении с Водафон), но никоим образом не затрагивает:
(a) право одной из сторон на вознаграждение в соответствии с любым предыдущим соглашением;
(b) любые приобретенные права или обязательства, которые возникли в соответствии с любым предыдущим соглашением; или
(c) любые обязательства, которые в силу любого предыдущего соглашения, остались в силе после истечения срока этого соглашения.
2. Соглашение
2.1 Срок
Настоящее Соглашение действует с Даты вступления в силу и с учетом пунктов 14.1, 14.2, 14.3 и 14.4 остается в силе на срок тридцать шесть (36) месяцев с Даты вступления в силу («Срок»).
2.2 Назначение МТС от Страховщика
(a) Страховщик назначает компанию МТС (непосредственно или через Дилеров) действовать от имени Страховщика в отношении Программы, как это предусмотрено в соответствии с условиями настоящего Соглашения, и МТС признает это назначение.
(b) Страховщик уполномочивает МТС (непосредственно или через Дилеров) действовать от имени Страховщика по отношению к деятельности, установленной в Приложении 3 «Оплата услуг и полномочия», что предусмотрено в соответствии с условиями настоящего Соглашения.
(c) Страховщик далее разрешает МТС передавать полномочия Физическим лицам и/или Дилерам для осуществления деятельности от имени Страховщика, как это предусмотрено в соответствии с условиями настоящего Соглашения.
(d) Страховщик может немедленно отменить или изменить полномочия, предоставленные МТС по настоящему Соглашению, направив письменное уведомление МТС, в соответствии с которым Страховщик действует добросовестно, для продолжения Программы, и имеет разумные основания.
(e) Страховщик назначает компанию МТС для организации (непосредственно или через Дилеров):
(i) Услуг ремонта или замены мобильного телефона в рамках Программы на условиях, изложенных в Приложении 1 настоящего Соглашения; и
(ii) Других услуг, которые в соответствии с настоящим Соглашением, предоставляются непосредственно МТС от имени Страховщика,
и МТС принимает это назначение.
