Source text - English 1. Liquidated damages
The seller's liability for damages shall in no case exceed the purchase price of the particular quantity delivered with respect of which damages are claimed.
2.Acceleration
Whenever, within the sale judgment of Seller, the credit standing of Buyer shall become impaired, Seller shall have the right to demand that the remaining portion of the contract be fully performed within ten (10) days.
3. Force Majeure
Neither party shall be liable in damages or have the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to, acts of God, government restrictions (including the denial or cancellation of any export or other necessary licence), wars, insurrections and/or any other cause beyond the reasonable control of the party whose performance is affected.
4.Assignment
This Agreement may not be assigned without the prior written consent of the other party, except that Buyer may assign the Agreement to a subsidiary or related corporation so long as the owners of at least seventy-five per cent (75%) of the stock of such corporation are either Buyer or the shareholders of Buyer.
5. Termination
In the event Operator defaults in the performance of any covenant or agreement made hereunder, as to payments of amounts due hereunder, and such defaults are not remedied to the Supplier's satisfaction within ten (10) days after notice of such defaults, the Supplier may thereupon terminate this agreement and all rights hereunder of the Operator but such termination shall not affect the obligations of the Operator to take action or abstain from taking action after termination hereof, in accordance with this agreement.
6 Entire Agreement
This Agreement, including the Schedules and Exhibits attached hereto, constitutes and contains the entire agreement of the parties with respect of the subject matter hereof and collectively supersedes any and all prior negotiations, correspondence, understandings and agreements between the parties respecting the subject matter hereof. No party is relying on or shall be deemed to have made any representations or promises not expressly set forth or referred to in this Agreement.
Translation - Spanish 1. Determinación previa de la indemnización por daños y perjuicios
La responsabilidad del vendedor por daños y perjuicios no excederá en ningún caso el precio de compra de la cantidad concreta entregada con respecto a la cual se reclaman los daños.
2. Cumplimiento anticipado
Si en opinión del Vendedor, la solvencia del comprador se viera comprometida, el Vendedor tendrá derecho a exigir que el resto del contrato se ejecute en un plazo máximo de diez (10) días.
3. Fuerza mayor
No se podrá exigir a las partes responsabilidad por daños y perjuicios, ni estas podrán dar por resuelto el contrato por retrasos o incumplimientos del mismo, si dichos retrasos o incumplimientos pudieran ser atribuibles a causas ajenas a su control incluyendo, entre otra cosas, las catástrofes naturales, restricciones gubernamentales (incluyendo la denegación o cancelación de cualquier licencia de exportación o de otra índole ), conflictos armados, insurrecciones o cualquier otra causa que quede fuera del control de la parte responsable del incumplimiento.
4. Cesión
Las partes no podrán ceder los derechos y obligaciones estipulados en el presente contrato sin el consentimiento previo y por escrito de la otra parte. Este consentimiento previo no será necesario si la cesión se produce entre el Comprador y alguna de sus sociedades filiales o asociadas que estén participadas en, al menos, un setenta y cinco por ciento (75 %) por el Comprador o por accionistas del Comprador.
5. Resolución del contrato
En caso de que el Operador incumpliera alguno de los pactos o acuerdos del presente contrato en cuanto a los pagos de los importes que se deriven del mismo y dichos retrasos no sean subsanados a favor del Proveedor en un período de diez (10) días desde su notificación, el Proveedor podrá dar por finalizado el contrato y el Operador perderá todos sus derechos. Sin embargo, la resolución del contrato no afectará a las obligaciones del Operador de hacer o dejar de hacer tras la finalización del mismo, de acuerdo con este contrato.
6. Integridad del contrato
El presente Contrato, junto con los Anexos y Documentos que aquí se adjuntan, constituyen la totalidad de lo acordado entre las Partes con respecto al objeto del mismo y en su conjunto sustituye cualquier negociación, intercambio de correspondencia, acuerdos particulares y contratos que pudieran haber existido anteriormente entre las Partes sobre el tema objeto del Contrato. Las partes solo reconocen haber realizado las declaraciones y compromisos expresamente recogidos en este contrato.
