Russian to English: Договор Займа Detailed field: Law: Contract(s)
Source text - Russian ДОГОВОР ЗАЙМА № XXX
г. Москва 10 февраля 2012 г.
Общество с ограниченной ответственностью «_________», именуемое в дальнейшем «Заимодавец», в лице Директора _______________, действующей на основании Устава, с одной стороны и Индивидуальный предприниматель _____________, именуемая в дальнейшем «Заемщик», действующая от собственного имени, с другой стороны заключили настоящий договор о нижеследующем:
1. ПРЕДМЕТ ДОГОВОРА
1.1. По настоящему договору Заимодавец передает в собственность Заемщику денежные средства в размере XXX рублей XX копеек в качестве займа, а Заемщик обязуется вернуть указанную сумму займа в установленный настоящим договором срок.
1.2. Настоящий договор займа является беспроцентным, проценты за пользование суммой займа не уплачиваются.
2. ПРАВА И ОБЯЗАННОСТИ СТОРОН
2.1. Денежные средства, оговоренные в п. 1.1. настоящего договора, Заимодавец обязан передать Заемщику путем перечисления на расчетный счет Заемщика.
2.2. Заемщик вправе распоряжаться суммой займа по собственному усмотрению.
2.3. Сумма займа должна быть возвращена Заемщиком путем внесения денежных средств на расчетный счет Заимодавца в срок до 31.12.2019 года.
3. ОТВЕТСТВЕННОСТЬ СТОРОН
3.1. В случае невозвращения суммы займа (соответствующей части займа) в определенный в п. 2.3. договора срок, Заемщик уплачивает пени в размере 0,03% от суммы займа (соответствующей части займа) за каждый день просрочки до дня ее фактического возврата Заимодавцу.
3.2. В случае неисполнения или ненадлежащего исполнения одной из сторон обязательств по настоящему договору, она обязана возместить другой стороне причиненные таким неисполнением убытки.
4. ФОРС-МАЖОР
4.1. Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по настоящему договору, если это неисполнение явилось следствием обстоятельств непреодолимой силы, возникших после заключения настоящего договора в результате обстоятельств чрезвычайного характера, которые стороны не могли предвидеть или предотвратить.
5. РАЗРЕШЕНИЕ СПОРОВ
5.1. Все споры и разногласия, которые могут возникнуть между сторонами по вопросам, не нашедшим своего разрешения в тексте данного договора, будут разрешаться путем переговоров.
5.2. При не урегулировании в процессе переговоров спорных вопросов, споры разрешаются в порядке, установленном действующим законодательством.
6. ЗАКЛЮЧИТЕЛЬНЫЕ ПОЛОЖЕНИЯ
6.1. Любые изменения и дополнения к настоящему договору действительны, при условии, если они совершены в письменной форме и подписаны надлежаще уполномоченными на то представителями сторон.
6.2. Все уведомления и сообщения должны направляться в письменной форме.
6.3. Настоящий договор вступает в силу с момента внесения денежных средств Заимодавцем на расчетный счет Заемщика.
6.4. Настоящий договор будет считаться исполненным при исполнении Сторонами взаимных обязательств.
6.5. Настоящий договор составлен в двух экземплярах, имеющих одинаковую юридическую силу, по одному экземпляру для каждой стороны.
Translation - English LOAN AGREEMENT No. XXX
Moscow February 10, 2012
Limited liability company "________," hereinafter referred to as the "Lender," represented by the Director ___________, acting on the basis of the Articles of Association, on the one hand, and sole proprietor _____________, hereinafter referred to as the "Borrower," acting on her own behalf, on the other hand, have entered into this agreement as follows:
1. SUBJECT OF THE AGREEMENT
1.1. Under this agreement the Lender issues a loan in the amount of XXX rubles XX kopecks to the Borrower, and the Borrower undertakes to repay the specified loan amount within the term established by this agreement.
1.2. This loan agreement is non-interest bearing; interest shall not be charged for utilizing the loan.
2. RIGHTS AND OBLIGATIONS OF THE PARTIES
2.1. The Lender shall disburse the funds referred to in clause 1.1. of this agreement to the Borrower by crediting them to the Borrower's current account.
2.2. The Borrower has the right to dispose of the loan funds as she sees fit.
2.3. The Borrower shall repay the loan by crediting the loan amount to the Lender’s current account by December 31, 2019.
3. RESPONSIBILITIES OF THE PARTIES
3.1. Should the Borrower fail to repay the loan (corresponding part of the loan) by the due date specified in clause 2.3. of this agreement, she shall pay a penalty of 0.03% of the loan amount (corresponding part of the loan) for each day of delay up to the date of its actual repayment to the Lender.
3.2. In case of non-fulfillment or improper fulfillment of obligations hereunder, the party at fault shall compensate the other party for losses caused by such non-fulfillment.
4. FORCE MAJEURE
4.1. The parties shall be relieved from responsibility for partial or complete non-fulfillment of their obligations hereunder if that non-fulfillment came as a result of force majeure circumstances, arising after the conclusion of this agreement and caused by circumstances of extraordinary nature that the parties could not have foreseen or prevented.
5. DISPUTE RESOLUTION
5.1. All disputes and disagreements that may arise between the parties on issues not addressed in this agreement shall be settled by means of negotiations.
5.2. If the disputes are not settled through negotiations, they shall be resolved in accordance with the procedure established by the applicable law.
6. FINAL PROVISIONS
6.1. Any amendments and additions to this agreement shall be valid only if they are made in writing and signed by the duly authorized representatives of the parties.
6.2. All notices and communications shall be submitted in writing.
6.3. This agreement shall come into force on the date the amount due is credited by the Lender to the Borrower's current account.
6.4. This agreement shall be deemed executed upon fulfillment by the parties of their mutual obligations.
6.5. This agreement is drawn up in two copies of equal legal force, one copy for each party.
