The Supreme Court’s decision is important because it sheds light on what factors courts will consider when determining the decision-making process and content of a decision are significantly unreasonable. In terms of the decision-making process, in arriving at its decision that the process was not significantly unreasonable, the Supreme Court placed considerable weight not only on the directors’ reasonable deliberations of the relevant facts but also on the directors’ decision to seek and follow a lawyer’s opinion.
