Pelo presente instrumento particular, de um lado:
PORTUGAL SPORTS ACADEMY LLC E SEUS DADOS
E do outro:
NOME E DADOS DO CEDENTE
CONSIDERANDO QUE:
a) A PORTUGAL SPORTS ACADEMY LLC é uma entidade de prática desportiva brasileira cujas
atividades envolvem eSports
b) A PORTUGAL SPORTS ACADEMY LLC tem interesse em contratar o direito de explorar
comercialmente e em vários tipos de mídia, a imagem, a voz, o nome e o apelido desportivo do CEDENTE e os direitos autorais derivados, bem como de contratar os serviços do CEDENTE para a prestação de serviços de Psicólogo profissional de eSport, para integrar esporadicamente sua equipe de trabalho, em âmbito nacional e internacional, em caráter de exclusividade para a PORTUGAL SPORTS ACADEMY LLC.
c) O direito de cessão onerosa de imagem, voz, nome e apelido desportivo pode ser transacionado civil e comercialmente, não representando o presente instrumento qualquer vínculo trabalhista entre as partes para todos os efeitos legais.
Assim sendo, resolvem as Partes celebrar o presente Contrato de Prestação de Serviços e
Concessão de Direitos à Exploração de Imagem, Voz, Nome e Apelido Desportivo (“Contrato”), nos termos e condições abaixo descritos.
CLÁUSULA PRIMEIRA – DO OBJETO
1. O objeto do presente Contrato é a prestação de serviços de Psicólogo profissional pelo CEDENTE em caráter exclusivo à PORTUGAL SPORTS ACADEMY LLC , e a concessão pelo CEDENTE à PORTUGAL SPORTS ACADEMY LLC, do direito de exploração da imagem, voz, nome e apelido desportivo do CEDENTE, em todo e qualquer “procedimento comercial, publicitário e de marketing”, da PORTUGAL SPORTS ACADEMY LLC bem como em meios de comunicação, internet e em redes sociais, desenvolvido no país e no exterior.
1.1 As partes acordam que a PORTUGAL SPORTS ACADEMY LLC poderá utilizar a imagem, voz, nome e apelido desportivo do CEDENTE, tal como previsto no adendo a), a qualquer tempo, sem qualquer restrição e pagamento adicional, e sem necessidade de autorização prévia, mesmo após o término ou rescisão do presente Contrato, quando o objetivo for de natureza histórica, institucional e/ou documental.
1.2 PORTUGAL SPORTS ACADEMY LLC respeitará os contratos comerciais celebrados pelo CEDENTE, anteriormente à assinatura do presente instrumento, para a exploração da imagem, voz, nome e apelido desportivo do cedente e os direitos autorais derivados, sendo necessário a apresentação destes contratos pelo cedente até a data de assinatura do presente contrato.
1.3 Encerrado este contrato, pelo decurso do seu prazo ou por sua rescisão, por qualquer razão, encerra-se o direito de uso da imagem, voz, nome e apelido desportivo do
CEDENTE pela PORTUGAL SPORTS ACADEMY LLC
1.4 O CEDENTE não poderá divulgar, em nenhuma hipótese, qualquer assunto interno da PORTUGAL SPORTS ACADEMY LLC, sem prévia e expressa anuência da PORTUGAL SPORTS ACADEMY LLC, incluindo-se assuntos relacionados a questões políticas, financeiras, jurídicas, técnicas e/ou administrativas
1.5 O CEDENTE não poderá divulgar, através dos diversos meios de comunicação, suas opiniões pessoais ou informações que reflitam críticas ou possam, direta ou indiretamente, prejudicar ou denegrir a imagem, a reputação e a marca da PORTUGAL SPORTS ACADEMY LLC e/ou de seus patrocinadores e parceiros comerciais.
1.6 O objeto do presente contrato é a prestação de serviços na especialidade de psicologia pelo CONTRATADO aos beneficiários da CONTRATANTE,
Parágrafo único - O escopo do presente contrato consiste em:
a) Serviços na especialidade: Psicologia (consulta, avaliação, sessão e terapia) de pleno conhecimento do CONTRATADO;
b) Regime de atendimento: O atendimento será realizado em acordo realizado pelo atendente e os atendidos.
CLÁUSULA SEGUNDA - DAS OBRIGAÇÕES
2 O CONTRATADO se compromete a prestar serviço em psicologia aos funcionários da CONTRATANTE, devidamente identificados.
2.1 O CONTRATADO deverá dar prioridade no atendimento para os casos de urgência e/ou emergência.
2.2 Nos atendimentos serão utilizados todos os recursos do CONTRATADO quanto a profissionais, serviços, equipamentos e materiais necessários ao atendimento dos beneficiários da CONTRATANTE
CLÁUSULA TERCEIRA – DA REMUNERAÇÃO
3 Obriga-se a CONTRATANTE a pagar ao CONTRATADO as despesas de serviços de psicologia decorrentes do presente contrato, no valor de R$6000,00
3.1 No caso de atraso de pagamento dos serviços, as partes deverão entrar em acordo sobre nova data de pagamento.
CLÁUSULA QUARTA – DO SIGILO PROFISSIONAL
4 O CONTRATADO deverá manter absoluto sigilo sobre quaisquer dados ou informações a que tiver acesso em razão da prestação dos serviços objeto deste contrato, comprometendo-se a não dar conhecimento, transmitir ou ceder a terceiros, mesmo que parcialmente, qualquer dado de que tenha ciência e documentação que lhe seja confiada, ou que seja por si gerada em função da execução dos serviços e negociações, salvo mediante autorização escrita da CONTRATANTE.
CLÁUSULA QUINTA
5. O prazo de vigência do contrato é indeterminado, a partir da data de sua assinatura, podendo as cláusulas ser renegociadas a cada 12 (doze) meses e formalizadas através de termo aditivo.
a) O presente contrato revoga quaisquer outros termos firmados anteriormente entre as partes.
b) No período de renovação contratual, o atendimento ao beneficiário permanece inalterado.
CLÁUSULA SEXTA DA RESCISÃO
6. Este contrato poderá ser rescindido a qualquer tempo, de acordo entre as partes, mediante notificação prévia de 30 (trinta) dias, não havendo direito a indenização de qualquer natureza, ressalvado o direito das partes de receber o que lhes for devido. a) Após o encerramento do presente contrato, o CONTRATADO terá o prazo de 30 (trinta) dias, para apresentar a cobrança dos valores devidos em razão da prestação dos serviços.
6.1 O contrato poderá ser rescindido por qualquer das partes nas seguintes ocorrências:
a) O não cumprimento de cláusulas contratuais;
b) Quando houver a paralisação dos serviços pelo CONTRATADO sem justa causa ou prévia comunicação à CONTRATANTE, ou em desrespeito à legislação vigente;
c) Alteração dos atos constitutivos do CONTRATADO que prejudique a execução do objeto contratual;
d) A penalidade descrita no adendo a) da clausula 6.1 não se aplicará nos casos em que o CONTRATANTE tenha apresentado um acordo sobre os pagamentos a ser realizados ao CONTRATADO
CLÁUSULA SETIMA
7. DA VEDAÇÃO DA EXCLUSIVIDADE CONTRATUAL É vedada a exclusividade na relação contratual, sendo as partes contratantes independentes para firmar outros instrumentos jurídicos com terceiros para a mesma finalidade.
CLÁUSULA OITAVA - DIVULGAÇÃO O CONTRATADO
8. autoriza a divulgação de seu nome ou sua razão social, nome fantasia, endereço completo com telefones e CEP, bem como, dias e horários de atendimentos nas circulares, manuais, livro de credenciados à ser distribuídos aos beneficiários da CONTRATANTE.

EXPLORATION OF IMAGE, VOICE, NAME AND SPORTIVE NICKNAME
By this particular instrument, on one hand:
PORTUGAL SPORTS ACADEMY LLC AND ITS DATA
And on the other:
ASSIGNOR'S NAME AND DATA
WHEREAS:
a) PORTUGAL SPORTS ACADEMY LLC is a Brazilian sporting entity whose
activities involve eSports
b) PORTUGAL SPORTS ACADEMY LLC is interested in contracting the right to explore
commercially and in many types of media, the image, the voice, the name and the sport’s surname of the ASSIGNOR and the derived copyright, as well as to hire the services of the ASSIGNOR for the provision of professional eSport Psychologist services, to sporadically integrate its work team, nationally and internationally, exclusively to PORTUGAL SPORTS ACADEMY LLC.
c) The right to onerous assignment of image, voice, name and sportive nickname can be negotiated civilly and commercially, and this instrument does not represent any employment relationship between the parties for all legal purposes.
Therefore, the Parties decide to enter into this Service Provision Agreement and
Concession of Rights to the Exploration of Image, Voice, Name and Sportive Nickname(“Contract”), under the terms and conditions described below.
CLAUSE ONE - OBJECT
1. The object of this Contract is the provision of professional Psychologist services by the ASSIGNOR exclusively to PORTUGAL SPORTS ACADEMY LLC, and the grant by the ASSIGNOR to PORTUGAL SPORTS ACADEMY LLC, of the right to exploit the image, voice, name and sportive nickname of the ASSIGNOR, in any and all “commercial, advertising and marketing procedures”, from PORTUGAL SPORTS ACADEMY LLC as well as in media, internet and social networks, developed in the country and abroad.
1.1 The parties agree that PORTUGAL SPORTS ACADEMY LLC may use the image, voice, name and sportive nickname of the ASSIGNOR, as provided in the addendum a), at any time, without any restriction and additional payment, and without the need for prior authorization, even after the termination or rescission of this Agreement, when the objective is of a historical, institutional and/or documentary nature.
1.2 PORTUGAL SPORTS ACADEMY LLC will respect the commercial contracts signed by the ASSIGNOR, prior to the signing of this instrument, for the exploitation of the assignor’s image, voice, name and sportive nickname and the derived copyright, being necessary the presentation of these contracts by the assignor until the date of signature of this contract.
1.3 Upon termination of this contract, for the duration of its term or for its rescission, for any reason, the right to use the image, voice, name and sportive nickname from the
ASSIGNOR to PORTUGAL SPORTS ACADEMY LLC
1.4 The ASSIGNOR may not, under any circumstances, disclose any internal matter of PORTUGAL SPORTS ACADEMY LLC, without the prior and express consent from PORTUGAL SPORTS ACADEMY LLC, including matters related to political, financial, legal, technical and/or administrative matters
1.5 The ASSIGNOR will not be able to disclose, through the various means of communication, his personal opinions or information that reflect criticism or that may, directly or indirectly, damage or denigrate the image, reputation and brand of PORTUGAL SPORTS ACADEMY LLC and/or its sponsors and business partners.
1.6 The object of this contract is the provision of services in the specialty of psychology by the CONTRACTED PARTY to the beneficiaries of the CONTRACTING PARTY,
Sole paragraph - The scope of this contract consists of:
a) Specialized services in: Psychology (consultation, evaluation, session and therapy) with full knowledge of the CONTRACTED PARTY;
b) Attendance regime: Attendance will be carried out in an agreement made by the attendant and those attended.
SECOND CLAUSE - OBLIGATIONS
2 The CONTRACTED PARTY undertakes to provide service in psychology to the CONTRACTING PARTY employees, duly identified.
2.1 The CONTRACTED PARTY shall give priority to assistance in cases of urgency and/or emergency.
2.2 All the CONTRACTED PARTY's resources will be used in the attendance regarding professionals, services, equipment and materials necessary to attend the CONTRACTING PARTY beneficiaries
THIRD CLAUSE - REMUNERATION
3 The CONTRACTING PARTY is obliged to pay the CONTRACTED PARTY the expenses for psychology services resulting from this contract, in the amount of R$6000.00
3.1 In the event of late payment for services, the parties must agree on a new payment date.
FOURTH CLAUSE - PROFESSIONAL CONFIDENTIALITY
4 The CONTRACTED PARTY must maintain absolute confidentiality about any data or information to which it has access due to the provision of the services object of this contract, committing itself to not inform, transmit or assign to third parties, even partially, any data of which he/she is aware and documentation entrusted to them, or that is generated by it according to the performance of services and negotiations, except with written authorization from the CONTRACTING PARTY.
FIFTH CLAUSE
5. The term of validity of the contract is indefinite, from the date of its signature, and the clauses may be renegotiated every 12 (twelve) months and formalized through an addendum.
a) This contract revokes any other terms previously signed between the parties.
b) In the contract’s renewal period, the service to the beneficiary remains unchanged.
SIXTH CLAUSE OF RESCISSION
6. This contract may be terminated at any time, by agreement between the parties, upon prior notification of 30 (thirty) days, with no right to indemnity of any kind, except for the right of the parties to receive what is due to them. a) After the end of this contract, the CONTRACTED PARTY will have a period of 30 (thirty) days, to present the collection of the charge amounts due to the provision of services.
6.1 The contract may be terminated by either party in the following cases:
a) Failure to comply with contractual clauses;
b) When services are stopped by the CONTRACTED PARTY without just cause or prior communication to the CONTRACTING PARTY, or in disregard for current legislation;
c) Alteration of the CONTRACTED PARTY's constituent acts that impairs the performance of the contractual object;
d) The penalty described in addendum a) of clause 6.1 will not apply in cases where the CONTRACTING PARTY has submitted an agreement on the payments to be made to the CONTRACTED PARTY
SEVENTH CLAUSE
7. SEALING CONTRACTUAL EXCLUSIVITY
Exclusivity in the contractual relationship is prohibited, the contracting parties being independent to sign other legal instruments with third parties for the same purpose.
CLAUSE EIGHT - DISCLOSURE THE CONTRACTED PARTY
8. authorizes the disclosure of your name or business name, trade name, full address with telephones and zip code, as well as days and hours of service in circulars, manuals, accredited book to be distributed to the CONTRACTING PARTY beneficiaries.

A Translator working on Proz.com since 2020, which I have come in contact with it through friends.
Ever since I was little I've loved linguistics and it's codes/means to make approaches between people, and English kept that very alive through a great part of my life. I have trained that skill to where it could and it's still growing up, where it first appeared at school, and thus has gone through many levels, where it passed down from simple student to become a Teacher as well.
I live and was born in Brazil, and I have worked in these surroundings, specifically in the state of Pará, that makes part of the brazilian amazonian areas, and as such, I have also worked in the riverlands communitties, teaching English and also the basic knowledge and application for Computer Science.
I have been working as a teacher for about 3 years and I am keeping this work alive in it's many forms, but about the uses of the languages has been on much longer, and I'm using it for translating as well.
