Source text - English THIS INTERNATIONAL DISTRIBUTION AGREEMENT (the "Agreement") is entered into effect December 1st. 2016 ("Effective Date") by and between PENTAX Medical Company, a Division of PENTAX of America, Inc., a company organized under the laws of the State of Delaware USA, having a principal place of business at 3 Paragon Drive, Montvale, New Jersey 07645, ("Pentax"), and AUDICAL S.R.L., a company organized under the laws of URUGUAY, having a principal place of business at Bulevard Artigas 1385, CP 11200, Montevideo, Uruguay, (“Distributor”).
RECITALS
A. Pentax is engaged in the business of manufacturing, distributing and selling the Products (as defined below); and
B. Distributor desires to solicit orders for the Products from, and distribute and sell the Products to customers in the Territory (as defined below); and
C. Distributor desires to purchase from Pentax, and Pentax desires to sell to Distributor, the Products for the purpose of resale to customers in the Territory.
NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the Parties agree as follows:

Ante la posibilidad de un cambio de representación en Uruguay y con la coincidencia de que nosotros estamos desarrollando la apertura de una tercer empresa con un perfil Premium es que tenemos el agrado de presentarnos y presentar un proyecto de desarrollo de un emprendimiento conjunto.
Somos un grupo empresarial dedicado a exclusivamente a la audiología y actividades accesorias como equipo audiológico e instrumental medico en el área de ORL.
Mi nombre es Carlos Lopez Rossello de profesión Óptico Optometrista profesión que no ejerzo desde hace 18 años y mi socia es mi esposa Dra. Daniela Taranto Odontóloga que gerencia nuestro laboratorio de Otoplastica y es la directora técnica para todo lo referente a regulatorios.
Mis comienzos en le área audiológica fueron en el año 1987 donde realizo un curso en Gaes España y en ese año comienzo desarrollando la actividad de audioprotesista fundamentalmente en el interior del país.
En el año 1996 fundo Audical en una oficina en la ciudad de Montevideo de 33 metros cuadrados.
En el año 2000 abrimos lo que hoy es nuestra sede central en un edificio propio de 200 metros cuadrados y ese mismo año compramos otra compañía de nombre Centro Auditivo del Uruguay fundada en 1949.
En la actualidad el grupo cuenta con su sede central que se expandió a 400 metros cuadrados y 12 centros de atención propios por Audical y 2 Centros propios por Centro Auditivo.
En Audical vendemos HA de las marcas Siemens, Phonak y Bernafon.
En Centro Auditivo vendemos Oticon en exclusividad.
A partir del año 2000 y según cifras de aduanas el grupo consolido un 50% del mercado y hace mas de 10 años que superamos el 60% del mercado Uruguayo de HA.
Dentro de nuestras fortalezas queremos destacar que somos un socio de negocios con una reputación bien ganada de seriedad y estricto cumplimiento de nuestros compromisos.

Esto ya esta procesándose sea que lleguemos a un acuerdo o no.
La estrategia consistiría en que después del primer año podamos abrir 1 local mas por año hasta llegar a 3 locales en puntos estratégicos del país.

We are a business group involved exclusively in the audiological sector and related activities, such as the supply of audiological equipment and surgical equipment in ENT.
My name is Carlos Lopez Rossello, I am an Optician-Optometrist, although I have not practised in 18 years, and my business partner is my wife, Dr. Daniela Taranto. She is an Odontologist, and she runs our otoplasty lab as well as being the Chief Technical Officer in all matters regarding regulatory affairs.
My first steps in the audiological sector were in 1987, when I took a course with Gaes, in Spain. In that same year I started working as a hearing aid specialist, mainly outside Montevideo.
In 1996 I founded Audical in Montevideo. At the time we had a 33 square meters’ office.
In 2000 we opened what is still our main office, in our own 200 square meters building, and that same year we purchased another company, Centro Auditivo del Uruguay, founded in 1949.
Currently, our business group´s headquarters has expanded to a 400 square meters´ space, with 12 branches under the Audical name, and two branches under Centro Auditivo.
Audical sells Siemens, Phonak and Bernafon hearing aids. Centro Auditivo is the exclusive provider of Oticon hearing aids.
Since the year 2000, and according to customs figures, our business group has taken 50% of the market, and for more than ten years we have surpassed 60% of the hearing aids Uruguayan market.

Business development with Widex:
Our proposal is to open a Widex-exclusive company on a street front office, located in Montevideo, along one of the city´s main avenues, close to several hospitals and medical facilities.
Such facility will have a hi-tech design, and shall be exclusively dedicated to providing hearing assistance.
This development is already underway, and shall continue regardless of an agreement being made.
The strategy implies the opening of a new office a year after the first one, and two more on subsequent years in strategic locations in the country.

I am a certified translator and English teacher, and many other things in between. Translation was my first degree, and I worked in different projects over the course of several years, among them:
- Translation of tourist guides for JustGO City guides (2006)
- Translation of the content of video courses for Escuelas IADE, a private institute located in Uruguay that offered short diplomas in different trades.
- Translation of user guides, data sheets and related documents for Audical Soluciones Auditivas, a hearing aid clinic based in Uruguay.
- Translation and time coding of the subtitles of films and shows for GAIA TV, through the agency Collot and Baca.
Apart from these projects, I participated as a volunteer translator of TED Talks and for a film festival in Uruguay.
I am currently volunteering for Translators Without Borders.
And my most recent undertaking has been a training course for Trados, which had been on my to-do-list for a long time. Now I can say that I am fully operational in Trados.
After graduating as a translator and taking a year off to travel to New Zealand, I began teacher training in Uruguay and I took the CELTA in Sydney in 2019. I currently work both with children and adults.
I took a short break from translation when I travelled to Australia, and now I am eager to get back into it, and looking for opportunities to show and further develop my skills.
