в лице Председателя Правления г-на Трояна Степана Матвеевича, именуемая в дальнейшем Покупатель, с другой стороны,
заключили настоящий Договор о нижеследующем:
1 Предмет Договора
1.1 Продавец продал, а Покупатель купил на условиях DDU Микулинцы, Украина, согласно Инкотермс 1990:
1.2 ЦКТ на ногах, с изоляцией, 700/840 гл. (2 штуки), 1000/1180 гл. (2 штуки), давление 0.8 (1.0) бар; площадку обслуживания и лестницу.
1.3 Емкость для сбора, хранения и дозирования дрожжей с охлаждением, 20/30 гл. и весовой ячейкой (2 штуки). Давление 0,8 бар. Один насос для перемешивания и аэрации. Отдельный насос для дозирования.
1.4 Емкость для ЧКД 20/30 гл. (1 штука), давление 0.8 бар с мешалкой, включая аэрацию, охлаждение, обогрев и весовую ячейку. Биомасса должна содержать 150 млн. дрожжевых клеток на 1 мл. С танком будет поставлена колба Карлсберга (10л).
1.5 Монтажные материалы для отделения ЦКТ, включая панель, насосы и электрический контроль.
1.6 Монтажные материалы для дрожжевого отделения и ЧКД, включая панель, насосы и электрический контроль.
1.7 Монтажные материалы для охлаждения, включая блок-компрессор для гликоля на 8 штук ЦКТ и электрический контроль.
1.8 Монтажные материалы для существующего СИП в варочном цехе, включая насос для создания высокого давления.
1.9 Техническая документация по эксплуатации купленного оборудования (на русском и английском языках).
1.10 Продавец обязуется изготовить проектную документацию, произвести монтаж оборудования, пусконаладочные работы и сдачу оборудования под ключ согласно отдельного контракта.
Поставка оборудования осуществляется транспортом Продавца согласно отдельного контракта.
Вышеперечисленное оборудование изготовляется в соответствии с технической спецификацией, являющейся неотъемлемым Приложением №1 к настоящему Договору на русском и английском языках.
2 Общая стоимость Договора
2.1 Общая стоимость настоящего Договора составляет: 403 293 (четыреста три тысячи двести девяносто три ровно) ЕВРО.
2.2 Оговоренные в Договоре цены являются твердыми на весь строк его действия.
3 Условия и строки поставки
3.1 Оборудование поставляется частями на условиях:
DDU Микулинцы, Украина
(оплата за транспортировку производится согласно отдельному контракту)
3.2 Поставка оборудования должна осуществляться не позже 90 дней со дня произведения оплаты по данному Договору.

3.4 Продавец заблаговременно (за 2 недели) уведомляет Покупателя о готовности оборудования к отгрузке.
3.5 Товар должен сопровождаться следующими документами:
- сертификат происхождения;
- сертификат качества;
- сертификат соответствия;
- инструкция по эксплуатации (на русском и английском языках);
- CMR;
- спецификация;
- упаковочный лист.
3.6 Датой поставки считается дата оформления грузовой таможенной декларации.
4 Условия платежа
4.1 100.000 ЕВРО (EUR) стоимости настоящего Договора оплачиваются по подписании данного Договора.
4.2 100.000 ЕВРО (EUR) стоимости настоящего Договора оплачиваются по отгрузке указанного оборудования.
4.3 122.000 ЕВРО (EUR) стоимости настоящего Договора оплачиваются в феврале 2003 года после успешной передачи оборудования.
4.4 81.293 ЕВРО (EUR) стоимости настоящего Договора оплачиваются в августе 2003 года.
4.5 Оплата по настоящему договору производиться в ЕВРО (EUR) путем перевода денег на счет Продавца в следующем банке:

4.6 Все банковские расходы банка Покупателя несет Покупатель, все банковские расходы Продавца - Продавец.
5 Качество товара
Качество оборудования, поставляемого по настоящему Договору, должно соответствовать действующим государственным стандартам страны Продавца, что должно подтверждаться сертификатом качества завода-изготовителя, и не входить в разногласие с действующими стандартами страны Покупателя.
Продавец гарантирует:
при изготовлении оборудования использовать высококачественные материалы и обеспечить первоклассную обработку и техническое исполнение оборудования;
что мощность поставляемых аппаратов и качество их работы будут соответствовать техническим условиям контракта;
комплектность поставляемого оборудования отвечает условиям контракта и обеспечит нормальную бесперебойную его работу;
чертежи и техническая документация, поставляемые по настоящему контракту являются доброкачественными, комплектными и достаточными для монтажа и ввода в эксплуатацию оборудования.
6 Гарантии и Право собственности
6.1 Продавец дает полную гарантию на все перечисленное оборудование в п.1 по данному Договору на период 24 месяца с момента ввода оборудования в эксплуатацию.
6.2 Все оборудование является собственностью фирмы «Хольврика Дания А/С» до произведения полной оплаты Покупателем.
6.3 В случае выхода из строя оборудования и его комплектующих, невозможности его полной или частичной эксплуатации в период гарантийного срока, Покупатель сообщает об этом Продавца по каналам связи, а Продавец обязан не позднее 120 часов с момента получения извещения отреагировать на него путем замены вышедшего из строя оборудования и комплектующих.
6.4 В период гарантийного срока все транспортные и другие расходы, связанные с возвратом или заменой дефектного оборудования несет Продавец.
6.5 В случае сбоя в работе и необходимостью замены более 30 % объема поставленного оборудования, Продавец обязуется за свой счет произвести демонтаж, вывоз, замену и установку нового аналогичного оборудования в срок не позднее 30 дней от даты извещения Покупателя о наличии сбоя в работе.
6.6 Продавец гарантирует своевременность поставки всего оборудования, оговоренного в п.1 настоящего Контракта, а также строки выполнения работ.
7 Арбитраж
7.1 Все споры и разногласия, которые могут возникнуть из настоящего контракта или в связи с ним, должны, по возможности, решаться путем переговоров Стороны обязуются проводить переговоры с момента предъявления письменных претензий.
7.2 Сторона, получившая претензию, обязуется в течение 1 недели дать ответ в письменной форме (без срока пересылки).
7.3 В случае, если стороны не смогут прийти к соглашению в течении 30 (тридцати) дней, то все споры и разногласия, за исключением подсудности общим судам, подлежат разрешению Международному Коммерческому Арбитражному Суду при Торгово-Промышленной палате Украины (г. Киев) в соответствии с Правилами и Процедурой данного суда.
7.4 Язык судопроизводства - русский
7.5 Решение арбитража должно быть мотивированным и содержать в себе указания о составе арбитража, времени и месте вынесения решения, упоминание о предоставленной сторонам возможности высказать свое требование и указание о распределении между сторонами расходов по производству дела в арбитраже.
7.6 Решение арбитража будет являться окончательным и обязательным для обеих сторон.
8 Форс– мажор
8.1 При наступлении форс-мажорных обстоятельств, таких как пожар, наводнение, землетрясение, забастовки у Продавца, переносится срок поставки, предусмотренный согласно пункту 3 настоящего контракта на соразмерный в зависимости от продолжительности этих обстоятельств срок, однако только в таких случаях, которые оказывают влияние на выполнение контракта или его части.
8.2 Продавец обязан известить Покупателя о наступлении и прекращении форс-мажорных обстоятельств незамедлительно, самое позднее через 10 дней, причем это сообщение должно подтверждаться соответствующей Торговой Палатой.
8.3 В случае не сообщения Продавцом о наступлении и прекращении форс-мажорных обстоятельств в течение указанного срока, он теряет право ссылаться на эти обстоятельства, освобождающие его от ответственности.
8.4 Если задержка поставки в связи с форс-мажорными обстоятельствами будет продолжаться более 6 месяцев, то Покупатель будет иметь право отказаться от невыполненной части контракта без начисления Продавцу расходов. В таком случае стороны контракта обязуются в течении 1 месяца возвратить друг другу все поставленное и перечисленное.
9 Ответственность
9.1 Ответственность Продавца наступает в случае предъявления претензии Покупателем по количеству или по качеству товара. В этом случае Продавец обязан заменить дефектный товар или поставить недопоставленный товар в реальный срок (но не более 6 недель), в течение которого эти части действительно могут быть поставлены, а также выплатить компенсацию за некачественный или недопоставленный товар из расчета – 0,2 % стоимости некачественного или недопоставленного товара за каждую последующую неделю просрочки после истечения реального срока (но не более 6 недель) до фактической замены или допоставки.
9.2 Ответственность Покупателя наступает в случае несвоевременного проведения полной оплаты за каждую поставленную партию товара из расчета 0,5 % неоплаченной суммы за каждую последующую неделю.
9.4 Продавец несет полную ответственность за нанесенные убытки вследствие неправильной упаковки товара и маркировки.
9.5 Сумма всех подлежащих к оплате Продавцом штрафов и убытков максимально ограничена на 5 % стоимости товара.
10 Прочие условия
10.1 Ни одна сторона не имеет права передать свои права и обязанности по настоящему контракту третьей стороне без получения на то письменного согласия другой стороны.
10.2 Вся переписка и переговоры, связанные с данным контрактом и проходившие до подписания настоящего контракта аннулируются и считаются недействительными.
10.3 Все дополнения и изменения в настоящем контракте действительны, если они сделаны в письменной форме и подписаны обеими сторонами.
10.4 Уплата Продавцом и/или Покупателем штрафов и/или возмещение прямых убытков не освобождает Продавца и/или Покупателя от обязательств по исполнению настоящего контракта.
10.5 Все налоги, пошлины и прочие сборы, взимаемые в связи с заключением и исполнением настоящего контракта до таможенной территории Покупателя производятся Продавцом, а на территории Покупателя – Покупателем.
10.6 При толковании настоящего Контракта имеют силу Международные правила толкования торговых терминов в восьмой редакции Международной Торговой палаты 1990 года (ИНКОТЕРМС 1990).
10.7 Настоящий контракт составлен на 8 (восьми) страницах и подписан в двух экземплярах на русском и английском языках, причем оба текста имеют равную юридическую силу, по одному экземпляру для каждой стороны.
10.8 В сомнительных случаях действует русская версия настоящего контракта.
10.9 Все факсимильные копии имеют юридическую силу, как и оригиналы.
11 Срок действия Договора
11.1 Настоящий Договор действует до полного выполнения сторонами своих обязательств. Действие Договора прекращается после принятия поставленного оборудования и произведения Покупателем всех платежей.

represented by the Chairman of the Board Mr. Stepan Troyan, hereinafter referred to as the Buyer, on the other,
have concluded the present Contract for the following:
1 Subject of the Contract
1.1 The Seller has sold, and the Buyer has bought on terms of DDU Mikulintsi, Ukraine, according to Incoterms 1990, the following equipment:
1.2 Insulated CCT's on legs capacity 700/840 hl (2 pieces) and 1000/1180 hl (2 pieces), pressure 0, 8 bar, including catwalk and ladder
1.3 Yeast collection, storage and dosage tank capacity 20/30 hl with cooling, pressure 0,8 bar, equipped with 1 shared pump for mixing and aeration, separate pump for dosing.
1.4 Yeast propagation tank capacity 20/30 hl, pressure 0, 8 bar, equipped with agitator including aeration, heating, cooling and weight distribution. Designed for 150 million per 1 ml of yeast cells. Carlsberg flask (10 litre capacity) to be delivered together with the tank.
1.5 Installation materials for CCT department, including. panel, pumps and electrical control.
1.6 Installation materials for yeast department and yeast propagation tank including panel, pumps and electrical control.
1.7 Installation materials for cooling, including compressor/glycol unit for glycol supply for 8 CCT's and electrical control.
1.8 Installation materials for modification of existing CIP in brewhouse, including high pressure pump.
1.9 Technical documentation for equipment under Contract operation (in Russian and in English).
1.10 The Seller has to prepare project documentation, mount the equipment, carry out production start and adjustment works commissioning "Turn key" as specified in a separate Contract.
The Seller delivers equipment according to the separate Contract.
The equipment mentioned above is manufactured in compliance with the technical specification, being indispensable Supplement No. 1 to this Contract in Russian and in English.
2 Total Amount of the Contract
2.1. The Total Amount of this Contract is:
EUR 403.293 (four hundred three thousand two hundred ninety three).
2.2. The prices, mentioned in this Contract, are fixed for the whole validity period of this Contract.
3 Terms and Time of Delivery
3.1 The equipment shall be delivered in parts on the following terms:

(the payment for transportation shall be done according to the separate Contract)
3.2 The delivery of the equipment has to be done not later than 90 days after the date of payment under this Contract.

3.4 The Seller shall notify the Buyer that the equipment is prepared for shipment 2 weeks before.
3.5 The goods have to be accompanied with following papers:
- Certificate of Origin
- Certificate of Quality
- Certificate of Accordance
- Operating Manual (in Russian and in English)
- CMR
- Specification
- Packing list
3.6 Delivery date will be considered the date of registration of the cargo customs declaration.
4 Terms of payment
4.1 EUR 100.000 of the Contract amount shall be paid on signing of this Contract.
4.2 EUR 100.000 of the Contract amount shall be paid on shipment of the mentioned equipment.
4.3 EUR 122.000 of the Contract amount shall be paid in February 2003 after commissioning.
4.4 EUR 81.293 of the Contract amount shall be paid in August 2003.
4.5 The payments under this Contract shall bemade in Euro (EUR) to the Seller's account in the following Bank:

4.6 All the bank expenses from the Buyer's bank are to be carried by the Buyer and all the bank expenses from the Seller's bank are to be carried by the Seller.
5 Quality of the Goods
Quality of the equipment, delivered under this Contract, shall comply with valid state standards of the Seller's country, which shall be confirmed by Manufacturer's Quality Certificate and should not contradict the existing standards of the Buyers country.
The Seller guarantees:
at manufacturing the equipment to use high-quality materials and to provide the first class processing and technical execution of the equipment; that capacity of delivered devices and quality of their work will meet specifications of the contract; the completeness of the delivered equipment answers the terms of the contract and will provide normal his uninterrupted work; the drawings and engineering specifications delivered under the present contract are good-quality, complete and sufficient for installation and commissioning of the equipment.
6 Guarantees and Ownership
6.1 The Seller gives full guarantee for all mentioned above equipment according to art. 1 of this Contract over a period of 24 months after commissioning of the equipment.
6.2 The delivered equipment shall be owned by «Holvrieka Danmark A/S» until full settlement of payments by the Buyer.
6.3 In case of failure of the equipment and its parts and impossibility of its full or partial operation during a warranty period, the Buyer informs the Seller about it by means of communication, and the Seller has to replace the failed parts and equipment not later than in 120 hours.
6.4 All transport and other expenses connected with return or replacement of the defective equipment during the warranty period are carried by the Seller.
6.5 In case of failure and necessity of replacement of more than 30 percent of the equipment, the Seller has to dismantle, transport and replace it with the new similar units not later than 30 days from the notice of the Buyer about failure in production.
6.6 The Seller guaranties the terms of delivery of the equipment according to art. 1 of this Contract and the time limits of its installation.
7 Arbitration
7.1 Any disputes and discords, which may arise in connection with this Contract shall be settled if possible amicably by way of negotiations. The parties have to start negotiations from the moment of presentation of claim in writing.
7.2 The party that received the claim has to send an answer in writing within 1 week (postage time is not included).
7.3 In case when the parties can not come to an agreement within 30 days, all disputes and discords, exclusive jurisdiction of the common courts, are to be settled by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Ukraine, Kiev, in accordance with the Rules and Procedures of the said Court.
7.4 The language of the legal procedure is Russian.
7.5 The Arbitration Award has to be justified and contain indications concerning arbitration staff, time and place of judgment, notice concerning granted possibilities to the parties to express their claim and indication of the distribution of the charges for the arbitration procedure between the parties.
7.6 The Arbitration Award shall be final and binding upon both Parties.
8 Force majeure
8.1 At occurrence of force majeure circum-stances, such as fire, flood, earthquake, strikes by the Seller, the term of delivery, according to the art. 3 of this Contract, is postponed to the proportional limit depending on the duration of these circumstances, however only in cases, which influence the fulfillment of the Contractor its part.
8.2 The Seller is obliged to inform the Buyer on occurrence and ceasing of the force majeure circumstances, the latest in 10 days, these notification has to be confirmed by the appropriate Chamber of Commerce.
8.3 In case of failure to receive notification from the Seller of occurrence and ceasing of the force majeure circumstances during the stated period, he loses the right to refer to these circumstances as releasing him from the responsibility.
8.4 Should force majeure circumstances last longer than 6 months, the Buyer has the right to terminate not carried out part of the Contract without paying charges made by the Seller. Under this circumstances the Contract parties are obliged to return all delivered goods and transferred money to each other within 1 month.
9 Responsibility
9.1 The responsibility of the Seller occurs incase of claim presentation from the Buyer concerning quantity or quality of the goods. In this case the Seller is obliged to replace defective goods or deliver undelivered goods in reason-able time (but not longer than in 6 weeks), the time during which goods can be really delivered, and pay compensation for poor quality or undelivered goods which consists of 0, 2 per-cent of the cost of the poor quality or undelivered goods for every week of delay (but not longer than in 6 weeks) until replacement or delivery takes place.
9.2 The responsibility of the Buyer occurs incase of delay of full payment for every batch of goods and amounts to 0, 5 percent of the delayed sum for every following week
9.4 The Seller bears full responsibility for losses owing to wrong packing or marking of the goods.
9.5 The Sum of all due payments of penalties and losses from the Seller is limited to 5 percent of the cost of the goods.
10 Other Terms and Conditions
10.1 Neither Party shall be entitled to assign to a third party its rights and obligations under the present Contract without the other Party's con-sent in writing.
10.2 All prior agreements, negotiations and correspondence between the Parties that have taken place before signing the Contract shall be considered null and void.
10.3 Any amendments and addenda to the present Contract shall be valid only if they are made in writing and signed by both Parties.
10.4 The payment of penalties and/or compensation of losses by the Seller and/or by the Buyer does not release them from the fulfillment of the obligations of the present Contract.
10.5 All the taxes, duties and other dues in connection with the Contract conclusion and its fulfillment are paid on the custom territory of the Seller by the Seller and on Buyers territory by the Buyer.
10.6 During interpretation of this Contract, the international rules of commercial terms interpretation in the 8th edition of the International Chamber of Commerce 1990 (Incoterms 1990) are valid.
10.7 This Contract is drawn up on eight pages and two copies of it in English and in Russian are signed, one copy for every party, both texts are equally legal.
10.8 If any doubt occurs, the Russian version is valid.
10.9 All the facsimile copies are legally valid the same as originals.
11. Validity of the Contract
11.1 This Contract shall be valid until the Parties have fulfilled their obligations. The Contract expires after acceptance of the delivered equipment and full settlement of the payments by the Buyer.
