: c’est la formule courante, sauf que pour le conseil d’administration, on utilise "réunion" (et "assemblée" pour l’assemblée générale des membres/actionnaires/porteurs de parts, selon le cas).

De fait, dans la plupart des statuts, tous les administrateurs doivent consentir à procéder par résolutions écrites et c’est une pratique particulièrement courante chez les "petits" conseils d’administration.
MAIS est-ce que "all of the directors... consent... to adopt the following resolutions"? C’est moins sûr. D’où l’importance de la position de ce "tenant lieu de réunion/en lieu et place d’une réunion.
Ainsi, dans un premier temps, les administrateurs consentent à « the following action » = le procédé de résolution écrite – à ne pas confondre avec les résolutions elles-mêmes – en lieu et place de la réunion. L’adoption des résolutions en tant que telle est faite après leur texte, juste avant les signatures. Vous y trouverez d’ailleurs une formule selon laquelle la signature de tous les administrateurs (habile à voter) confère à la résolution la même valeur que si elle avait été adoptée lors d’une réunion.
