This concerns interactive entertainment, but may be helpful:
'One solution to the problems of trying to clarify the terms of an option in advance, is the "First and Last Matching Rights" type of option. Here, the licence will require that, if a new format is introduced or one that was not previously agreed in the contract is to be utilised, the parties will negotiate terms. If they are unable to agree those terms within a set period (ie the "first" option comes to nothing), the licensor will be able to go and negotiate elsewhere to see if they can get a better deal. The "last matching rights" part provides that before concluding a deal with anyone else, the licensor will have to take that deal to the original licensee and give them the opportunity to match it.'
