Hi All,

I'm currently translating a company's Articles of Incorporation and would appreciate any advice on the above phrase in the following context:

"A Assembleia Geral poderá ser convocada por 1/5 (um quinto) dos associados, desde que estejam quites com as obrigações sociais"

From my understanding, I believe this means that any members who wish to convene a Shareholders' Meeting must be up-to-date with all contributions, but would appreciate any advice/feedback.

good standing Definition: An individual or legal entity in good standing is regarded as having complied with all their explicit obligations, while not being subject to any form of sanction, suspension or disciplinary censure.

No misunderstanding, you used the wrong terms Your terms were: "company's Articles of Incorporation" "Shareholders' Meeting". Associations are not incorporated and do not have shareholders.

In that case it is indeed members not shareholders and my answer is wrong. Your question was a bit misleading.

@MARK The "association" in question refers to itself as an "Instituto" and was formed by one S.A. company together with one Ltda. company

Please clarify. Is the entity in question that was formed by the two companies a company or just an association? What is it called? Does its name end in the standard abbreviations that indicate that is some sort of company?

@Darren I would suggest the term "membership dues" rather than "corresponding obligation". As you can see from the two examples I have given, being up-to-date with membership dues is the normal condition in associations for taking part in the general assembly. In that sense, there is nothing ambiguous about the source phrase.

Would a more ambiguous approach, such as "members who are fully compliant with their corresponding obligation" be a safer option in this instance?

Social obligations are both legal and financial. To attend the meeting, the member/shareholder has to be in good standing with the company and the community - to be a personal representative of corporate social responsibility (CSR) and the obligations attached thereto.

I had the same doubt. But how do we say it in English? Just /corporate obligations/? Happy to agree.

It means they have to be up-to-date with all their payments to the association. This is the norm in most associations.

disagree Mark Robertson : 1) I have never heard of dues in a company context. All shareholders normally have to pay for are their shares. 2) Asker's specific references to "company/shareholders". Vocabulário Jurídico De Placido e Silva lists shareholder as a meaning of associado.

Since when does a company have "associados"? Associations have "associados" and also have "obrigações sociais".
