Source text - English 14.THE BORROWER’S OBLIGATIONS
14.1. OBLIGATION TO PRESENT INFORMATION
The Borrower undertakes to ...
a) immediately – not later than within 15 (fifteen) days as of the relevant decision –
inform the Bank in writing of the possible dissolution, merger, division,
reorganisation and/or change of location of the Borrower;
b) immediately after receipt of the respective information, inform the Bank in writing of
any known criminal, execution or bankruptcy proceedings initiated against the
Borrower or the person securing the performance of the Agreement;
c) immediately inform the Bank in writing of any changes in the name, place of
residence and postal address of the Borrower or the person securing the performance
of the Agreement;
d) immediately – not later than within 5 (five) days as of the relevant decision – inform
the Bank in writing of any changes in the Supervisory Board or Management Board
of the Borrower and/or amendments to the Articles of Association;
e) present to the Bank, within 30 (thirty) days as of the end of the corresponding
quarter, the quarterly balance sheet and income statement of the company, prepared
in accordance with the Bank’s requirements and in conformity with the legal acts of
the Republic of Estonia, and, within 180 (one hundred and eighty) days as of the end
of the financial year, the audited annual report of the company;
f) inform the Bank in writing, within 2 (two) working days as of the passing of the
respective resolution by the competent authority of the Borrower, of the conclusion of
transactions, the cost of which exceeds the cost of transactions conducted by the
Borrower within the framework of its daily operations;
g) immediately inform the Bank of any other circumstances which may deteriorate the
Borrower’s solvency or decrease the value of the security;
h) submit to the Bank, by the deadline established by the Bank, a valuation report or
another document on the security (securities) for the performance of the Agreement
or other circumstances, prepared by an appraiser accepted by the Bank, if the Bank so
demands;
i) immediately inform the Bank of the transfer of the property securing the performance
of the Agreement;
j) immediately inform the Bank of the conclusion of surety or loan agreements with
third parties, as well as the conclusion of other contracts (including leasing and hire-
purchase), if the Borrower’s financial liability arising from these agreements exceeds
10% (ten per cent) of the outstanding Loan;
k) use the Loan in accordance with its purpose, and submit to the Bank, upon the Bank’s
demand and by the deadline established by the Bank, data on the purposeful use of
the Loan, accompanied by the documents verifying the use of the Loan; allow the
Bank and the person(s) specified in Clause 22.1 f) inspection of the use of the Loan by
the Borrower in accordance with the purpose specified in the Agreement;
l) submit to the Bank, within 7 (seven) days after the filing of the respective claim by
the Bank, written information on the performance of the Borrower’s liabilities arising
from the Agreement, including adherence to the special conditions;
m) immediately inform the Bank of any insured events with respect to the property
securing the performance of the Agreement.
Paskolos gavėjas įsipareigoja...
a) nedelsiant – ne vėliau kaip per 15 (penkiolika) dienų – informuoti Banką raštu apie galimą Paskolos gavėjo bendrovės išformavimą, suliejimą, padalijimą, reorganizaciją ir / arba vietos pasikeitimą;
b) nedelsiant informuoti Banką raštu gavus informaciją apie bet kokias žinomas kriminalines, turto arešto, bankroto procedūras, pradėtas prieš Paskolos gavėją arba asmenį, atsakingą už Sutarties vykdymą;
c) nedelsiant informuoti Banką raštu apie bet kokius Paskolos gavėjo arba už Sutarties vykdymą atsakingo asmens vardo, gyvenamosios vietos arba pašto adreso pasikeitimus;
d) nedelsiant – ne vėliau kaip per 5 (penkias) dienas – informuoti Banką raštu apie bet kokius Paskolos gavėjo Stebėtojų tarybos arba Valdybos pokyčius ir / arba Įstatų pakeitimus;
e) per 30 (trisdešimt) dienų nuo atitinkamo ketvirčio pabaigos pateikti Bankui bendrovės balansą ir pelno (nuostolių) ataskaitą, parengtą pagal Banko reikalavimus ir laikantis Estijos Respublikos teisės aktų, ir per 180 (šimtą aštuoniasdešimt) dienų po finansinių metų pabaigos pateikti bendrovės audito metinę ataskaitą;
f) informuoti Banką raštu per 2 (dvi) darbo dienas nuo kompetentingos Paskolos gavėjo institucijos rezoliucijos apie sandorius, kurių išlaidos viršija jo kasdienių operacijų išlaidas;
g) nedelsiant informuoti Banką apie bet kokias aplinkybes, kurios gali paveikti Paskolos gavėjo mokumą arba dėl kurių gali sumažėti vertybinių popierių vertė;
h) Bankui reikalaujant, jo nurodytu laiku pateikti vertybinių popierių arba kitų aplinkybių įvertinimo ataskaitą arba kitą dokumentą, parengtą Bankui priimtino vertintojo;
i) nedelsiant informuoti Banką apie nuosavybės, užtikrinančios Sutarties vykdymą, perdavimą;
j) nedelsiant informuoti Banką apie laidavimo arba paskolų sutartis su trečiosiomis šalimis bei apie kitokių sutarčių sudarymą (įskaitant nuomos ir lizingo), jeigu iš šių sutarčių kylantys Paskolos gavėjo finansiniai įsipareigojimai viršija 10 % (dešimt procentų) neapmokėtos Paskolos;
k) naudoti Paskolą pagal paskirtį; Bankui reikalaujant, jo nurodytu laiku pateikti duomenis apie tikslingą Paskolos naudojimą, kartu pateikiant dokumentus, paliudijančius Paskolos naudojimą; leisti Bankui ir asmeniui (-ims), nurodytam (-iems) 22 straipsnio 1 dalies f punkte (22.1 f)) patikrinti, ar Paskolos gavėjas naudoja Paskolą šioje Sutartyje nurodytu tikslu;
l) Bankui pateikus paraišką, per 7 (septynias) dienas pateikti Bankui rašytinę informaciją apie Paskolos gavėjo įsipareigojimų, numatytų šioje Sutartyje, vykdymą, įskaitant konkrečių sąlygų laikymąsi;
m)nedelsiant informuoti Banką apie bet kokius draudimo įvykius, susijusius su nuosavybe, užtikrinančia šios sutarties vykdymą.
