As for 优先受偿权, usually the finance guys just say preferred shareholders (as an eg.) have first claim to the assets (eg.), but i guess you could add "right" so that it sounds legal.

As indicated above, in the case of collateral other than inventory, e.g., equipment, it seems clear that the policy favoring the purchase money secured party in Section 9‑312(4) should give him the ****first claim to**** the proceeds.
