Source text - English As informed in your memorandum dated September 3, 2004, XXX, Inc. (“XXX”) is currently considering offering the opportunity to exchange outstanding stock options for cash to eligible option holders under the 1999 Long-Term Management Incentive Plan (the “Plan”). All outstanding options held by eligible participants would be eligible for exchange, regardless of the exercise price of the option. However, persons whose service with XXX or its subsidiary has been terminated would likely not be allowed to participate in the offer.
The amount of cash a participant would receive in exchange for outstanding options would be determined by the exchange ratio for each “class” (options with the same exercise price, vesting schedule and expiration date) of eligible options he or she holds. The calculation of the cash amount would include, among other things, a discount factor from the then-current market price of XXX common stock.
This memorandum is to discuss the main securities laws, labor and social security, tax and exchange control issues arising from the proposed transaction in Argentina. As requested by you, we have abstained from proposing any language. Our final recommendation on its structure will be made upon review of the specific terms of the cash out exchange offer.

(en adelante, “XXX”) se encuentra actualmente considerando la posibilidad de ofrecerle la oportunidad de intercambiar opciones de acciones en circulación por dinero en efectivo a los tenedores de opciones que califiquen, según el Plan 1999 de Incentivos a Largo Plazo para la Gerencia (en adelante, el “Plan”). Todas las opciones en circulación que se encuentren en poder de participantes que califiquen, serían calificables para dicho intercambio, sin importar el precio de ejercicio de la opción. Sin embargo, es probable que no se les permita la participación en dicha oferta a aquellas personas cuyo servicio con XXX o su subsidiaria haya finalizado.
El monto de efectivo que recibiría un participante a cambio de las opciones en circulación estaría determinado por el índice de intercambio correspondiente a cada “clase” (opciones con el mismo precio de ejercicio, el mismo plazo para ejercicio, y la misma fecha de caducidad) de opciones calificables que posea dicho participante. El objetivo de este memorándum consiste en discutir las principales leyes de valores, la seguridad social y laboral, cuestiones relativas al control de impuestos e intercambio que surjan de la transacción propuesta en Argentina. Source text - Spanish Over the past few years, businesses have seen a dramatic increase in the need for LAN connectivity. As voice-and video-over-IP (VoIP) continue to mature, and as new technologies - such as grid computing - continue to evolve, the need for a strong cabling solution that can provide for the growing demand for end-to-end network bandwidth is advancing rapidly.
In the early years, little attention was paid to the cabling being used in networks, and cabling occupied only a small portion of the average IT budget. Today, with bandwidth needs constantly changing, network and IT managers are beginning to realize the important role that connectivity within the network plays to support business functions. In fact, a recent study conducted by XXX found that managers of enterprise LANs are now more likely to install high-performance cabling at earlier stages to meet the bandwidth challenge of network-intensive applications.
Moreover, the study also found a significant number of new trends evolving to address this network connectivity challenge.
