Source text - English 2.3 Acceptance of Purchase Orders. Within three (3) business days of receipt of a purchase order from Distributor, Supplier may request in writing a modification of the Product designations, quantities, delivery dates, and special shipment instructions specified thereon. Supplier’s failure to request a modification or to reject a purchase order within the three (3) business day period shall be deemed an acceptance thereof. Upon actual or deemed acceptance of a purchase order by Supplier, a binding contract for the sale and purchase of Product shall exist between Supplier and Distributor in accordance with this Agreement and Distributor’s purchase order. If Supplier requests modification of any of the aforementioned terms of Distributor’s purchase order, then Distributor shall have three (3) business days following receipt of the request to accept or reject Supplier’s modifications. If Distributor does not respond or object to Supplier’s request within three (3) business days of receipt, the modifications specified thereon shall be deemed accepted by Distributor. Upon Distributor’s actual or deemed acceptance of purchase order modifications by Supplier, a binding contract for the sale and purchase of Products shall exist between Supplier and Distributor in accordance with this Agreement and Distributor’s purchase order as so modified. The foregoing modification procedure shall apply only with the regard to Product designations, quantities, delivery dates, and special shipment instructions. With respect to all other terms, Supplier and Distributor agree that the terms and conditions of this Agreement shall apply to the sale of Product hereunder and cannot be modified or amended except as provided in this Section.

The basic guide on gifts and entertainment is that XXXXX employees should not give (or accept) gifts or entertainment that we could not claim for reimbursement on our own expense reports. Employees should not accept gifts, payments, fees, services, discounts, valued privileges or other favors where these would, or might appear to, improperly influence you in performing your duties for XXXXX. You should not provide or give gifts or favors to others where these might appear to improperly influence their relationship with XXXXX.
XXXXX employees can accept or give common courtesies normally associated with accepted business practices, so long as these are not in a form that could be construed as a bribe, payoff or secret compensation. The use of bribes, secret compensation or kickbacks is improper and will result in immediate disciplinary action.
Normal business-related entertainment may be accepted or given. For example, you may participate in functions and activities connected with seminars, exhibits, trade shows, meetings or presentations that incorporate meals and/or entertainment. Functions involving overnight stays for entertainment, must have prior approval from senior management.

Source text - English Anesthesiology is relatively new field of medicine. Main part of our job is to keep patients comfortable and stable during operations. So we have to take a human being and make them sleep, make sure they don’t remember anything, make sure they don’t feel any pain during operation. My responsibilities include giving all medications, antibiotics…If the patient need blood, all of that is up to me. The surgeon is doing the operation, he only wants to operate. So, he’s concern with the operation, while I’m concern with the entire patients, making sure that they are warm enough, making sure that the bodies are protected. And, so, all the things that a person would do while they are awake, while the patient is asleep, I take over that responsibility.
Translation - Japanese 麻酔学は比較的新しい医療分野で、患者さんが手術を受けている間、快適且つ安定した状態を保つことが仕事の中心です。つまり、患者さんを眠らせ、手術中に起こったことを一切覚えておらず、痛みを感じないでいられる状態にしなければなりません。抗生物質を含む全ての投薬内容や輸血量などの決定責任はすべて私の肩にかかっています。手術中、外科医は手術だけに専念し、その一方で私は患者の容態全体に注意を払っていきます。つまり体温が保たれているか、身体が守られているかということを確認するわけです。患者さんが通常起きている間ならば自分で行なえるようなことを麻酔で眠っている間にかわって行なうのが僕らの仕事なのです。
