Source text - English The Joint Venture Operating Committee may act without a meeting if, following notice to all members of the proposed action, the voting members representing the Parties consent in writing to the action to be taken, or, without prior notice, upon unanimous written consent of the voting members; provided that, in case any Party is in default, such action can be taken only after notice is given to all members of the proposed action.
The Parties shall appoint, in addition to the General Manager, a Manager of Operations, a Manager of Finance, a Manager of Business Development, a Personnel Manager and such other officials as may be necessary or appropriate to conduct day-to-day business in an efficient and expeditious manner. Any such official may be removed or changed at any time by the Parties. Source text - Portuguese 14 – OBRIGAÇÕES DA CONTRATADA
14.1 – Executar, entregar e dar garantia para todos os serviços propostos no local determinado e de acordo com os prazos estabelecidos na proposta, contados a partir da data da assinatura do presente instrumento, assumindo inteira responsabilidade pelo mesmos;
14.2 – Fornecer juntamente com a entrega dos serviços toda a sua documentação fiscal;
14.3 - Responsabilizar-se por todos os ônus relativos ao fornecimento dos serviços a si adjudicados, inclusive fretes e seguros desde a origem até sua entrega no local de destino;
14.4 – Atender prioritariamente as solicitações feitas pela Contratante;
14.5 – Atender às solicitações de serviços através de requisição formal, por escrito ou por meio eletrônico, por servidores devidamente credenciados;
14.6 – Manter, durante toda a execução do contrato, em compatibilidade com as obrigações assumidas, todas as condições de habilitação e qualificação exigidas na licitação;
14.7 – Aceitar nas mesmas condições contratuais os acréscimos e supressões até 25% (vinte e cinco por cento) do valor inicial atualizado, do contrato;
14.8 – Na hipótese da Contratada ter entregue o serviço previamente contratados e não ter apresentado as Certidões Negativas de Débito com o FGTS e INSS atualizadas, obtendo ou não o pagamento relativo às notas fiscais emitidas, deverá a mesma apresentar:
14.8.1- comprovante da quitação dos encargos da seguridade social, não só quando da habilitação na licitação ou da celebração do contrato, como também durante toda a constância da relação contratual, em face do disposto no art. 195, § 3°, da Constituição Federal.
14.8.2 – comprovar a regularidade com o sistema da seguridade social a cada fatura emitida contra a Contratante;
14.8.3 – comprovação da regularidade junto ao INSS, efetuada através de cópia autenticada da Guia de Recolhimento da Previdência Social (GRPS) e da respectiva folha de pagamento.
15. OBRIGAÇÕES DA CONTRATANTE
15.1 – Prestar as informações necessárias, com clareza, à Contratada, para a execução dos serviços avençados;
15.2 – O Departamento XYX, através de funcionário, a ser designado, ficará responsável para acompanhar e fiscalizar a execução dos serviços objeto deste certame, devendo registrar todas as ocorrências, bem como expedir notificações nos termos do art. 67 da Lei 8.666/93;
15.3 – Preparar e instruir para pagamento, as faturas apresentadas pela Contratada e remetê-las a tempo ao setor competente;
15.4 – Pagar no vencimento as faturas apresentadas pela Contratada, correspondentes aos serviços efetivamente prestados;
15.5 – Notificar a Contratada, fixando-lhe prazo para corrigir as irregularidades encontradas na execução dos serviços.
Translation - English 14 – OBLIGATIONS OF THE CONTRACTOR
14.1 – To execute, deliver and warrant all services proposed, at the stipulated location and according to the time schedule established in the tender as counted from the execution hereof, assuming full responsibility for them;
14.2 – To provide all its fiscal documentation upon delivery of the services;
14.3 – To assume the responsibility for all burdens regarding the rendering of the services awarded to it, including freights and insurance from the origin up to their delivery at the destination location;
14.4 – To comply with priority with the requests made by the Owner;
14.5 – To comply with service requests through a formal requisition in writing or by electronic means, by duly accredited servers;
14.6 – To keep, throughout the performance of the contract, all eligibility and qualification conditions required in the bidding, consistently with the obligations assumed;
14.7 – To accept, under the same contractual conditions, additions and deductions up to twenty five percent (25%) of the updated initial amount of the contract;
14.8 – In the hypothesis that the Contractor has delivered the service previously contracted and has not submitted updated certificates of good standing with the FGTS (Seniority Benefit Assurance Fund) and the INSS (National Social Security Institute), regardless of obtaining or not the payment of the invoices issued, it is to submit:
14.8.1 – substantiation of acquittance of the social security burdens, not only upon the eligibility in the bidding or upon the entering into the contract, but also during the entire existence of the contractual relationship, under the provisions of art. 195, § 3 of the Federal Constitution.
14.8.2 – substantiation of good standing with the social security system upon each invoice issued against the Contractor;
14.8.3 – substantiation of good standing with INSS, by submitting a certified copy of the Social Security Payment Voucher (GRPS) and the respective payroll.
15. OBLIGATIONS OF THE OWNER
15.1 – To clearly render to the Contractor the information required for the execution of the covenanted services;
15.2 – Department XYZ, through an official to be designated, shall be responsible for following up and exercise the surveillance of the execution of the services that are the subject matter of this bidding, whereby it is to record all occurrences, as well as to issue notices under art. 67 of Law 8.666/93;
15.3 – To prepare for payment the invoices submitted by the Contractor, attaching to them the required documentation, and sending them timely to the competent sector;
15.4 – To pay on maturity the invoices submitted by the Contractor, corresponding to the services actually rendered;
15.5 – To notify the Contractor, assigning it a period of time to correct the irregularities found in the execution of the services.
