Source text - English Nanotechnology is the study and implementation of nanomaterials, defined by length scales less than 100 nanometers, and has emerged as an influential area of research and development for future technologies. The synthesis of many nanomaterials consists of a “bottom up” mechanism beginning with atomic building blocks, as opposed to the conventional methods of micro scale synthesis consisting of “top down” mechanisms.
The every-day usage of such nanodevices lies in the distant future, however current research in the production of nanomaterials lies in controlling these tailored assemblies, particularly isolated nanoparticles of specific size and morphology.
Current applications of nanoparticles include optical, electronic, magnetic, sensor, superconducting, biological, catalytic and biomedical materials as well as coatings, films, and seeded growth of micro/macro scale materials. Nanoparticle properties have the potential to differ significantly from conventional materials thus allowing for the development of novel and innovative materials.
Composition, structure, interfacial properties, defects, flaws and other physical aspects of these materials are the key ingredients which mold these materials for their potential applications yielding new and innovative materials. In order to take advantage of these physical aspects, synthesis of nanomaterials must be understood and controlled. Control of nanoparticle synthesis lies in manipulation of the physical properties, thermodynamics and kinetics of the system, thus allowing for tailored assembly down to the atomic level.

AOT has an inverted cone shape with a critical packing parameter greater than one allowing for preferential formation of reverse micelle surfactant aggregates. An oil-in-water microemulsion, o/w, located in the bottom left corner of the phase diagram, consists of water as the bulk fluid with small amounts of surfactant and oil. For an o/w microemulsion, the surfactant and oil components will self assemble to form a minimum free energy entity know as a micelle.
Micelles are composed of nano-scale oil droplets encased in a monolayer of surfactant with the hydrophilic surfactant tails preferentially oriented on the oil droplet surface and the hydrophilic head group extending into the bulk water phase. A water-in-oil, w/o, microemulsion located in the bottom right corner of the phase diagram, consists of an organic solvent or oil as the bulk fluid with small amounts of surfactant and water. In this case the surfactant and water self assemble to form a thermodynamically stable reverse micelle. The reverse micelle consists of a small water pool encased in a surfactant monolayer where the hydrophilic head group preferentially orients itself at the water surface and the surfactant tails protrude into the bulk organic fluid, as seen in Figure 1-1b.

Sinteza multor nanomateriale constă într-un mecanism de tip ascendent începând de la unităţile structurale atomice, spre deosebire de metodele convenţionale de sinteză la scară micro, descendente.
Utilizarea zilnică a acestor nanodispozitive se conturează în viitorul îndepărtat. Totuşi, cercetările curente în ceea ce priveşte producţia de nanomateriale au la bază controlarea acestor ansambluri particularizate, în special nanoparticule izolate de dimensiuni şi morfologii specifice.
Aplicaţiile curente pentru nanoparticule includ materialele optice, electronice, magnetice, pentru senzori, superconductoare, biologice, catalitice şi biomedicale, precum şi materialele de acoperire, foliile şi dezvoltarea prin însămânţare a materialelor la scară micro/macro. Proprietăţile nanoparticulelor au potenţialul de a se deosebi semnificativ de materialele convenţionale, astfel permiţând dezvoltarea de materiale noi şi inovatoare. Compoziţia, structura, proprietăţile suprafeţei, defectele, deteriorările şi alte aspecte fizice ale acestor materiale sunt ingredientele cheie care le modelează pentru posibilele aplicaţii, oferind materiale noi şi inovatoare. Pentru a se putea profita de aceste aspecte fizice, sinteza nanomaterialelor trebuie să fie înţeleasă şi controlată. Controlul sintezei nanoparticulelor constă în manipularea proprietăţilor fizice, a termodinamicii şi cinematicii sistemului, astfel permiţând asamblarea particularizată până la nivelul atomilor.

AOT are formă de con inversat cu un parametru critic de compactare mai mare decât cel care permite formarea preferenţială a agregatelor de surfactanţi cu micele inverse. O microemulsie de tip ulei în apă, o/w, amplasată în colţul din stânga jos al diagramei fazelor, este compusă din apă ca masă de fluid şi din surfactant şi ulei în cantităţi mici. Pentru o microemulsie de tip o/w, componentele surfactant şi ulei se vor auto-asambla pentru a forma o entitate cu energie liberă minimă cunoscută drept micelă.

The indoor climate (temperature and air quality) as such is of considerable influence on our general well-being. Comfort is achieved primarily by the type of heat transfer. For example, the radiant heat of a tiled stove is considered to be pleasant and natural, since it directly heats the body. This principle of heat transfer is utilized by the systems for radiant heating and cooling. The AED PLUS uses electrode packs that are connected to the unit by a cable. The package contains electrodes that you attach to the patient. Make sure to install a new package of electrodes and connect the electrode cable to the unit after each use, to prepare for future emergencies. Check the electrode expiration date regularly to ensure that electrodes are fresh and ready to use in an emergency situation.
If the electrodes are not attached properly, the unit issues the CHECK ELECTRODE PADS or the ATTACH ELECTRODE PADS voice prompt during operation. If the electrode cable is not properly attached to the unit, the unit issues the PLUG IN CABLE prompt. Make certain to connect the electrode cable to the AED PLUS unit and attach the electrodes to the patient properly.
Sensitivity and specificity are expressions of ECG analysis algorithm performance when compared to ECG interpretation by a clinician or expert. Sensitivity refers to the algorithm’s ability to correctly identify shockable rhythms (as a percentage of the total number of shockable rhythms); specificity refers to the algorithm’s ability to correctly identify non shockable rhythms (as a percentage of the total number of non-shockable rhythms).

Cu toate că, în ajun chiar, îmi făgăduisem cu jurământ să mă întorc devreme acasă, tocmai atunci mă întorsesem mai târziu: a doua zi spre amiazi.
Noaptea mă apuca în aşternut. Pierdusem răbojul timpului. Aş fi dormit înainte, dus, fără zgomotoasa sosire a unei scrisori pentru care trebuia neapărat să iscălesc de primire. Trezit din somn sunt mahmur, ursuz, ciufut. Nu iscălii. Mormăii numai să fiu lăsat în pace.
Aţipii iarăşi, dar pentru scurtă vreme. Sărăcia de epistolă se înfiinţă din nou, însoţită de cruda lumină a unei lămpi. Mişelul de poştaş găsise de cuviinţă să mă iscălească cu mâna lui. Nu-i fusei recunoscător.
Urăsc scrisorile. Nu ştiu să fi primit de când sunt decât una, de la bunul meu amic Uhry, care să-mi fi adus o veste fericită. Am groază de scrisori. Pe atunci le ardeam fără să le deschid.
Asta era soarta ce o aştepta şi pe noua sosită. Cunoscând scrisul, ghicisem cuprinsul. Ştiam pe de rost nesărata plachie de sfaturi şi de dojane ce mi se slujea de-acasă cam la fiecare început de lună; sfaturi să purced cu bărbăţie pe calea muncii, dojane că nu mă mai înduplecam să purced odată. Şi, în coadă, nelipsita urare ca Dumnezeu să mă aibă în sfânta sa pază.
Amin! în halul însă în care mă găseam mi-ar fi fost peste putinţă să pornesc pe orice fel de cale. Nici în pat nu mă puteam mişca. Deşurubat de la încheieturi, cu şalele frânte, mi se părea că ajunsesem în stare de piftie. În mintea mea aburită miji frica să nu mă fi lovit damblaua.
Nu, dar în sfârşit mă răzbise. De o lună, pe tăcute şi nerăsuflate, cu nădejde şi temei, o dusesem într-o băutură, un crailâc, un joc. În anii din urmă, fusesem greu încercat de împrejurări; mica mea luntre o bătuseră valuri mari. Mă apărasem prost şi, scârbit de toate peste măsură, năzuisem să aflu într-o viaţă de stricăciune uitarea.
O luasem numai cam repede şi mă vedeam în curând silit să depun armele. Mă lăsau puterile. În acea seară, eram în aşa hal de sfârşeală că n-aş fi crezut să mă pot scula nici să fi luat casa foc. Dar deodată mă pomenii cu mine în mijlocul odăii, în picioare, uitându-mă speriat la ceasornic. Mi-adusesem aminte că eram poftit la masă de Pantazi.
Ce noroc că mă deşteptase; mare noroc! Privii acum cu recunoştinţă scrisoarea părintească; fără ea scăpam întâlnirea cu cel mai scump prieten.
Mă îmbrăcai şi ieşii. Era, spre căderea iernii, o vreme de lacrimi. Deşi nu plouase, tot era ud; jgheaburile plângeau, ramurile copacilor desfrunziţi picurau, pe tulpine şi pe grilaje se prelingeau ca o sudoare rece, stropi groşi. Ăsta e timpul care îndeamnă cel mai mult la băutură; rarii trecători ce se prefirau prin ceaţă erau mai toţi afumaţi. Un lungan, coborând prispa unei cârciumi, căzu grămadă şi nu se mai sculă.
Întorsei capul dezgustat. Birtul ales pentru acea seară fiind tocmai în Covaci, luai o birjă, lucru cuminte, deoarece la sosirea mea, ceilalţi mosafiri erau la a doua ţuică, iar oaspetele la a treia. Mă arătai mirat că se înfiinţaseră cu toţii aşa devreme; Pantazi însă mă lămuri că el venise de-a dreptul de-acasă, iar Paşadia cu Pirgu de-a dreptul şi ei de la "club", vremea fiind prea urâtă ca să mai zăbovească la aperitive.
Pantazi porunci încă un rând de ţuici. Dar voia bună ce ne urarăm, ciocnind, lipsea cu totul. Mă temui să nu adorm iar. În sala unde grosolana petrecere negustorească pornise să se înfierbânte - era într-o sâmbătă - masa noastră avea aerul unui ospăţ de înmormântare.
Borşul cu smântână şi ardei verde fu sorbit în tăcere. Niciunul din meseni nu ridica ochii din taler. Pirgu, îndeosebi, părea frământat de o mâhnire neagră. Aş fi deschis eu vorba dacă lăutarii n-ar fi început tocmai un vals care era una din slăbiciunile lui Pantazi, un vals domol, voluptos şi trist, aproape funebru. În legănarea lui molatecă, pâlpâia, nostalgică şi sumbră fără sfârşit, o patimă aşa sfâşietoare că însăşi plăcerea de a-l asculta era amestecată cu suferinţă. De îndată ce coardele încăluşate porniseră să îngaime amara destăinuire, sub vraja adâncă a melodiei, întreaga sală amuţise.
Tot mai învăluită, mai joasă, mai înceată, mărturisind duioşii şi dezamăgiri, rătăciri şi chinuri, remuşcări şi căinţe, cântarea, înecată de dor, se îndepărta, se stingea, suspinând până la capăt, pierdută, o prea târzie şi zadarnică chemare.
Pantazi îşi şterse ochii umezi.
- Ah! zise Pirgu lui Paşadia, făcându-şi privirea galeşă şi glasul dulceag, ah! cu valsul ăsta ţin să te duc la lăcaşul cel din urmă, cât mai curând; cred că n-ai să mă faci s-aştept mult încă această sărbătoare a tinereţelor mele. Ce frumos are să fie, ce frumos! şi eu beat, cu nenea Pantazi, voi stoarce întristatei adunări lacrimi fierbinţi luându-mi, în cuvinte mişcătoare, rămas bun de la în veci neuitatul meu prieten.
Paşadia nu zise nimic.
- Da, urmă Pirgu, leşinându-şi şi mai mult glasul şi privirea, are să fie atât de frumos! Eu am să-ţi duc căvălăriile pe pernă. Şi, la şapte ani, la parastasul cel mare, când au să te dezgroape, rămăşag pun că au să te găsească tot dichisit, tot scorţos, tot fercheş, fără un fir de păr alb, murat în argint-viu şi în spirt ca un gogoşar în sare şi în oţet.
Dar Paşadia nu-l asculta, se gândea aiurea. Scăpa de data asta Pirgu şi mi-era necaz, deoarece n-aveam ochi să-l văd.
Rămânând de tânăr singur în Bucureşti, de capul meu, mă ferisem să intru-n cârd cu oricine, aşa că din restrânsul cerc al cunoştinţelor mele, alese toate pe sprânceană, Gorică Pirgu n-ar fi făcut niciodată parte dacă n-ar fi fost tovarăşul nedespărţit al lui Paşadia, de care aveam o evlavie nemărginită.
Paşadia era un luceafăr. Un joc al întâmplării îl înzestrase cu una din alcătuirile cele mai desăvârşite ce poate avea creierul omenesc. Am cunoscut de aproape o bună parte din aceia ce sunt socotiţi ca faime ale ţării; la foarte puţini însă dintr-înşii am văzut laolaltă şi aşa minunat cumpănite atâtea înalte însuşiri ca la acest nedreptăţit ce, de voie, din viaţă, se hărăzise singur uitării. Şi nu ştiu un al doilea care să fi stârnit împotrivă-i atâtea oarbe duşmănii.
Auzisem că aceasta şi-o datora în parte înfăţişării. Ce frumos cap avea totuşi! Într-însul aţipea ceva neliniştitor, atâta patimă înfrânată, atâta trufie aprigă şi haină învrăjbire se destăinuiau în trăsăturile feţei sale veştede, în cuta sastisită a buzelor, în puterea nărilor, în acea privire tulbure între pleoapele grele. Iar din ce spunea, cu un glas tărăgănat şi surd, se desprindea cu amărăciune, o adâncă silă.
Viaţa lui, din istoria căreia i se întâmpla rar să dezvăluie ceva, fusese o crâncenă luptă începută de timpuriu. Ieşit din oameni cu vază şi stare, fusese oropsit de la naştere, crescut pe mâini străine, surghiunit apoi în străinătate la învăţătură. Întors în ţară, se văzuse jefuit de ai săi, înlăturat, hărţuit, prigonit şi trădat de toată lumea. Ce nu se uneltise împotriva lui? Cu ce strigătoare nedreptate îi fuseseră întâmpinate lucrările, truda de zi şi noapte a jerfitei sale tinereţi, cum se învoiseră cu toţii să-l îngroape sub tăcere! Din grelele încercări de tot soiul prin cari trecuse atâţia ani de restrişte şi cari ar fi doborât un uriaş, această făptură de fier ieşise călită de două ori. Paşadia nu fusese omul resemnării, încrederea în sine şi sângele rece nu-l părăsiseră în cele mai negre clipe; statornic în urmărirea ţelului, el înfrânsese vitregia împrejurărilor, o întorsese cu dibăcie în folosul său. Ca dânsul nimeni nu ştiuse să aştepte şi să rabde, neclintit el pândise norocul la răspântie, îl înşfăcase şi-l siluise ca să-i poată smulge ceea ce, în chip firesc, i s-ar fi cuvenit de la început fără caznă şi zbucium.

Even though the day before I had sworn to myself to come home early, precisely then I had returned later: the next day around noon.
The night found me in bed. I had lost track of time. I would have slept on had it not been for the noisy arrival of a letter, for which I had to sign. I woke up hung-over, grouchy, testily. I didn't sign. I only muttered that I wanted to be left alone.
I fell asleep again, but only for a short while. That darn letter arrived again, accompanied by the cruel light coming from a lamp. The dastardly postman found it appropriate to sign the letter for me. I wasn’t grateful.
I hate letters. I can only remember one letter, from my good friend Uhry, which brought me good news. I have dozens of letters. At that time I used to burn them without opening them.
The same fate awaited the newcomer. Knowing the writing, I had guessed its contents. I knew by heart the boring pieces of advice and the lecturing that I used to receive from home at the beginning of almost every month; to manly embrace the path of work, lecturing about not having embraced it already. And, in the end, the ever-present wishing that God may guard upon me.
Amen! but in my condition I would have found it difficult to walk on any path at all. I couldn't even move in bed. My joints unscrewed, my hips flat out, I thought I was some kind of jelly. My steaming mind feared I might have gone mad.
That was not it, but it had finally hit me. For a whole month, quietly and continuously, with hope and reason, I carried my life drinking, philandering, playing a game. In the past years, I had faced many trials; my tiny boat was stricken by big waves. I defended myself poorly and, disgusted beyond measure, I dreamed of finding oblivion in a life of decay.
But I had started too fast and I would soon see myself having to lay down my arms. My powers were weakened. That evening I was so worn out that I couldn’t see myself getting up even if the house had caught fire. But suddenly I found myself in the middle of the room, standing, looking at my clock frightened. I had remembered that Pantazi asked me over for lunch.
Lucky for me it woke me up; very lucky! I now looked gratefully at the letter from my parents; had it not come, I would have missed the meeting with my dearest friend.
I put on my clothes and got out. The winter was coming, it was a crying weather. Although it had not rained, it was wet; the chutes were crying, the branches of the leafless trees were dripping, thick drops were trickling along the stems and the grids like cold sweat. This is the time of year that mostly encourages drinking; the few passers-by that showed themselves through the mist were almost all smoked. A big slab-sided fellow, descending from the porch of a drinking house, fell down and never got up.
I looked away from him in disgust. As the tavern chosen for that evening was all the way in Covaci, I took a carriage, which was wise to do, for when I arrived the other visitants were having their second plum brandy, and the guest was having his third glass. I was surprised they had all showed up so early; but Pantazi told me that he came from his house directly and Paşadia and Pirgu came directly form the "club", as the weather was too bad for hors d’oeuvres.
Pantazi ordered another round. But the good cheer that we wished to one another when we clinked was completely missing. I was afraid not to fall asleep again. In the room where the crude mercantile party was starting to heat up - it was on a Saturday - our table looked like we were attending a funeral feast.
The sour cream and green pepper borsch was sipped in silence. None of the men from our table took their eyes off the plate. Pirgu seemed especially bothered by a dark sadness. I would have brought it up, had the musicians not started a waltz that was one of Pantazi’s weaknesses, a slow waltz, voluptuous and sad, almost funereal. In its soft swing, nostalgic and somber and infinite, flickered a passion so heartrending that the pleasure of listening to it was itself mixed with sufferance. As soon as the strings started to murmur the bitter confession, under the deep spell of the song, the entire hall went silent.
More and more wrapped, whispered, slow, telling about tendernesses and disappointments, wonderings and torments, remorses and repentances, the chant, drowned by longing, wandered further, and went out, sobbing until its end, a late and useless calling.
Pantazi wiped his teary eyes.
“Oh!” Pirgu said to Paşadia, with softened look and sweetened voice, “oh!” with this waltz I plan to take you to the grave as soon as possible; I trust you won’t let me wait too long for this celebration of my sorrows. How beautiful it will be, how beautiful! and drunken me, along with Mr. Pantazi, will cry burning tears in front of the sad assembly, saying good bye forever, in touching words, to my unforgettable friend”.
Paşadia said nothing.
"Yes”, Pirgu continued, softening his voice and his look even more, “it’s going to be so beautiful! I will carry your medals on a pillow. And, within seven years, at the great requiem, when they will dig you out, I bet that they’ll find you as neat, stiff, and spruce as you are now, without a single thread of white hair, soaked in quick silver and alcohol like a pickle in salt and vinegar.
But Paşadia was not listening to him, his mind was wandering. Pirgu got away this time and I felt bad because of that, as I couldn’t stand the man.
Living alone in Bucharest since my youth, on my own, I tried not to collude with just anybody, so little Gore Pirgu would have never entered the limited circle of my acquaintances, all carefully picked, had he not been the inseparable friend of Paşadia, to whom I was infinitely devout.
Paşadia was a morning star. A twist of fate had given him one of the most complete structures that the human brains can have. I have known quite a few of those who are considered famous in the country; but in very few have I seen altogether and so wonderfully balanced so many grand features as I have in this wrongfully judged man who, by his own will, gave himself to oblivion while still alive. And I knew of no other that had brought upon him so many enmities.
I had heard that it was partly because of his looks. But what a beautiful head he had! Inside it something restless was falling asleep, so much restrained passion, so much hot-blooded haughtiness and wicked grudge could be seen in the lines of his ever fading face, in the wearied line of his lips, in the power of his nostrils, in that turbid look behind his heavy eyelids. And in what he said, with a drawling and dull voice, you could bitterly sense a deep reluctance.
His life, of which he rarely spoke, was a harsh battle started early. Born form noble and rich parents, he was forsaken at birth, raised by strangers, then exiled abroad for studies. On his return, he found himself robbed by his own kin, discarded, harassed, oppressed and betrayed by everyone. Was there anything which had not been plotted against him? Oh, what blatant injustice met his works, the daily struggle of his sacrificed youth, and how everybody agreed to bury him in silence! This iron being came out twice strengthened from the hard trials of all sorts that he encountered in so many years of distress, which would have knocked down any giant. Pasadia had not been the man of submission, his self-trust and cold blood had not abandoned him in the darkest moments; constant in the pursuit for his goal, he had defeated the cruelty of the circumstances, he had turned it around for his own benefit. Nobody knew quite like him how to wait and endure; standing still, he had awaited his luck, he had grabbed it and he had forced himself upon it so that he could take away what was rightfully his from the beginning, without having to fight and torture himself for it.

2. Modelul antecontractului de vânzare-cumpărare având ca obiect apartamentul nr......., etaj ...., bloc ....... şi locul de parcare nr............., reprezintă anexa prezentului contract, este acceptat de parți şi face parte integrantă din prezentul contract.
3. Prin trecerea termenului menţionat la art. 4 fără semnarea antecontractului de vânzare-cumpărare având ca obiect apartamentul nr....., etaj ....., bloc ..... si locul de parcare nr......, din culpa promitentului-cumpărător, prezentul contract se desfiinţează fără nici o altă formalitate, fără punere în întârziere, cerere de chemare în judecată, notificare ori altă formalitate prealabilă şi fără a fi necesară nici o notificare, promitentul-cumpărător pierzând cu titlul de daune suma plătită ca rezervare.

5. În cazul în care promitentul-vânzător refuză, semnarea antecontractului de vânzare-cumpărare având ca obiect apartamentul nr......., etaj ....., bloc ........ si locul de parcare nr........., din motive ce țin de autoritățile locale, promitentul-cumpărător poate opta pentru prelungirea termenului contractului de rezervare sau pentru restituirea de către promitentul-vânzător promitentului-cumpărător a sumei primite cu titlul de rezervare.

În cazul în care promitentul-vânzător refuză semnarea antecontractului de vânzare-cumpărare având ca obiect apartamentul nr......., etaj ......., bloc .... si locul de parcare nr......., din alte motive decât cele specificate la art.11, acesta va restitui promitentului-cumpărător suma primita cu titlul de rezervare.

2. The model for the sale-purchase pre-contract agreement regarding the apartment no.…, … floor, block no.…, and the parking space no…, represents the annex to this agreement, is agreed upon by the parties and is an integral part of this agreement.
3. If the term mentioned under art. 4 is exceeded without the signing of the sale-purchase pre-contract agreement regarding the apartment no.…, … floor, block no.…, and the parking space no…, by default of the preemptive buyer, this agreement will be dissolved without any further formalities, with no notice of default, without filing a summoning petition, a notification or any other previous formality and in the absence of any notification, as the preemptive buyer will lose the sum paid for the reservation, as penalties.

(1) Asociatii decid asupra schemei de organizare si a personalului societatii.
(2) Lichidatorii au aceeasi raspundere ca si administratorii.
(3) Lichidatorii sunt datori, indata dupa preluarea functiei, ca impreuna cu administratorii societatii
sa faca un inventar si sa incheie un bilant care sa constate situatia exacta a activului si pasivului societatii si
sa le semneze.
(4) Lichidatorii sunt obligati sa primeasca si sa pastreze patrimoniul societatii, registrele ce li s-au, incredintat de administratori si actele societatii. De asemenea, ei vor tine un registru cu toate operatiunile lichidarii, in ordinea datei lor.
(5) Lichidatorii isi indeplinesc mandatul lor sub controlul cenzorilor sau al expertului contabil.
C. (1) In afara de puterile conferite de asociati, cu aceeasi majoritate ceruta pentru numirea lor, lichidatorii vor putea:
a) sa stea in judecata si sa fie actionati in interesul lichidarii;
b) sa execute si sa termine operatiunile de comert referitoare la lichidare;
c) sa vanda, prin licitatie publica, imobilele si orice avere mobiliara a societatii; vanzarea bunurilor nu se va putea face in bloc;
d) sa faca tranzactii;
e) sa lichideze si sa incaseze creantele societatii, chiar in caz de faliment al debitorilor, dand chitanta;
f) sa contracteze obligatii cambiale, sa faca imprumuturi neipotecare si sa indeplineasca orice alte acte necesare.
(2) Ei nu pot insa, in lipsa de dispozitii speciale in actul constitutiv sau in actul lor de numire, sa constituie ipoteci asupra bunurilor societatii, daca nu vor fi autorizati de instanta, cu avizul cenzorilor.
(3) Lichidatorii care intreprind noi operatiuni comerciale ce nu sunt necesare scopului lichidarii sunt raspunzatori personal si solidar de executarea lor.
D. - (1) Lichidatorii nu pot plati asociatilor nici o suma in contul partilor ce li s-ar cuveni din lichidare, inaintea achitarii creditorilor societatii.
(2) Asociatii vor putea cere insa ca sumele retinute sa fie depuse la Casa de Economii si Consemnatiuni ori la o societate bancara sau la una dintre unitatile acestora si sa se faca repartizarea asupra actiunilor sau partilor sociale, chiar in timpul lichidarii, daca, afara de ceea ce este necesar pentru indeplinirea tuturor obligatiilor societatii, scadente sau care vor ajunge la scadenta, mai ramane un disponibil de eel putin 10% din cuantumul lor.
(3) Impotriva deciziilor lichidatorilor, creditorii societatii pot face opozitie in conditiile legii.
E. - Lichidatorii care probeaza, prin prezentarea situatiei financiare anuale, ca fondurile de care dispune societatea nu sunt suficiente sa acopere pasivul exigibil trebuie sa ceara sumele necesare asociatilor care sunt debitori fata de societate, pentru varsamintele neefectuate, la care erau obligati in calitate de asociati.
F.- Lichidatorii care au achitat datoriile societatii cu proprii lor bani nu vor putea sa exercite impotriva societatii drepturi mai mari decat acelea ce apartineau creditorilor platiti.
G. - Creditorii societatii au dreptul de a exercita contra lichidatorilor actiunile care decurg din creantele ajunse la termen, pana la concurenta bunurilor existente in patrimoniul societatii, si numai dupa aceea de a se indrepta impotriva asociatilor, pentru plata sumelor datorate din valoarea actiunilor subscrise sau din aceea a aporturilor la capitalul social.
Translation - English Art. 11. Labor force.
(1) The associates decide upon the organizatoric and personnel scheme.
(2) The liquidators have the same responsibility as the administrators.
(3) Immediately after their appointment, the liquidators, together with the company's administrators, must elaborate an inventory and a balance sheet ascertaining the exact situation of the company’s assets and liabilities, and they must sign them.
(4) The liquidators must receive and keep the company’s patrimony, the records handed to them by the administrators and the documents of the company. They will also keep a registry with all the operations for the liquidation, in chronological order.
(5) The liquidators perform their mandate under the control of the censors or of the accounting expert.
C. (1) Apart from the powers conferred by the associates, with the same majority required for their appointment, the liquidators will be able:
a) to stand before Court and be on trial for the purpose of the liquidation;
b) to perform and finalize the trade operations regarding the liquidation;
c) to sell, by means of public auction, the buildings and any movable assets of the company; the sale of goods can not be done in bulk;
d) to perform transactions;
e) to liquidate and collect the company’s debts, issuing receipts, even in the situation when the debtors are bankrupt;
f) to contract payable bills of exchange, to make loans which are not guaranteed by mortgage and to execute any other necessary documents.
(2) However, in the absence of special rules included in the articles of association or in their deed of appointment, they cannot mortgage the goods of the company, unless they are authorized by the court of law, with the approval of the censors.
(3) The liquidators who carry new trade activities which are not necessary for the purpose of the liquidation are personally and jointly liable for their execution.
D. - (1) The liquidators cannot pay their associates sums of money on account of the shares they should receive from the liquidation, until they have paid the company's creditors.
(2) However, the associates will be able to demand that the retained sums be deposited with the House of Savings or with a banking company or one of their units, and that the shares be distributed, even during the liquidation, if, besides what is necessary for the fulfillment of all of the company’s duties which are due or which will become due, at least 10% of their quantum still remains available.
(3) The company’s creditors can oppose the decisions of the liquidators, according to the law.
E. – The liquidators who can prove, by presenting the annual financial statement, that the company's funds are not enough to cover the eligible immovables, must demand the sums necessary from the associates who are in debt to the company, for the outstanding installments to which they were bound as associates.
F. – The liquidators who have paid the company's debts from their personal funds will not be able to exert any rights on the company, other then those belonging the paid creditors.
G. – The company’s creditors are entitled to use against the liquidators the shares arising from the mature debentures, and even the goods existing in the patrimony of the company, and only after that they can turn to the associates for the payment of the owed sums from the value of the paid-in shares or from the value of the contributions to the registered capital.
