@ steffen - your quote emphasizes " Secretary" and not a "company secretary". Conventionally this job has been privatized as per my experience by RA -Kanzlei, so that you have only Wirtschaftsprüfer / Chartered accounts / boarder tax people that are mmbrs

For your information, in the quoted questions, "Secretary" has been used as a short form of "Company Secretary", so they are relevant to this question.

@steffen - only secretary is different than a company secretary, who is a member of an independent chapter, just like chartered accountant. A company secretary of this kind is at no chance an office (chief) secretary. I find it bit funny on your part.

you will find the precise explanation for Brandis's indication of "chartered accountant" and "company secretary".

@franglish - I gave chartered accountant only as an an indication, indicating such professions belonging to chapters. Similarly company secretary is also one such profession. Chartered accountant would certainly be a wrong answer.

A company secretary is responsible for ensuring the compliance of their organisation in relation to financial and legal practices, as well as issues of corporate governance. Although they are not strictly required to provide legal advice, company secretaries must have a thorough understanding of the laws which affect their areas of work. There is a special rule about company secretary in the UK http://companieshouseonline.com/content/view/46/54/1/4/ . Despite differences in the name of the organisations - it is the same for all publicly traded companies. The secretary (or each joint secretary) of a public limited company must also be a person who appears to the directors to have the necessary knowledge and ability to fulfil the functions and who:

held the office of secretary or assistant or deputy secretary on 22 December 1980; or
for at least three of the five years before their appointment, held the office of secretary of a non-private company; or is a barrister, advocate or solicitor called or admitted in any part of the United Kingdom; or
is a person who, by virtue of his or her previous experience or membership of another body, appears to the directors to be capable of discharging the functions of secretary; or
is a member of any of the following bodies:
the Institute of Chartered Accountants in England and Wales;

Many Corporate Secretaries of North American public companies are lawyers and some serve as their corporation's General Counsel. But while a legal background is quite helpful in performing the role of Corporate Secretary, it is not essential. In fact, at times, having a Corporate Secretary who also provides legal advice creates interesting questions as to whether particular communications made to management are legal advice - which may be subject to the attorney-client privilege - or general corporate/business advice, which is not. Thus, the "dual hat" Corporate Secretary/lawyer must always be careful to distinguish (and, as Corporate Secretary, record) which "hat" is being worn, and whether it is legal or managerial advice that is being given to directors and management.[1];

First bedeutet hier stellvertretend - siehe Wörterbuch und Suchmaschine. Meistens so verwendet bei politischen Ämtern, seltener in der Wirtschaft;

Gesellschaftssekretär

Die private limited company (Ltd.): Die englische Rechtsform private limited company (kurz Ltd. oder Limited) erfreut sich bei deutschen Unternehmensgründern zunehmender Beliebtheit. Immer mehr Gründer sehen in ihr eine echte Alternative zur deutschen GmbH.

Grund dafür: Man kann eine Limited schnell und günstig gründen und benötigen nur ein geringes Stammkapital von mindestens einem englischen Pfund. Die Limited haftet dabei lediglich in Höhe ihres Eigenkapitals.

Bei der Limited handelt es sich um eine Aktiengesellschaft mit begrenztem Gesellschafterkreis.

So wird eine Limited gegründet:
Zur Gründung einer Limited benötigit man mindestens zwei Personen mit denen die folgenden drei Positionen besetzt werden müssen:

Shareholder (Aktionär, Gesellschafter)
Director (Geschäftsführer)
Company Secretary (Gesellschaftssekretär)

Hier in Grossbritannien gibt es in der Firmenstipulation die Bezeichnung "Assistant Company Secretary" nicht, da figuriert nur "Company Secretary". Aus diesem Grunde vermute ich dass es mit der USA im Zusammenhang steht. Diese Bezeichnung könnte aber auch von anderen 'Commonwealth'-Ländern benutzt werden. Ich hoffe dass diese Information nützlich ist!
